VENDOR TERMS & CONDITIONS PRODUCT STANDARDS Shop & Stroll Markets is a curated marketplace featuring specialty food vendors, bakers, candy makers, handmade artisans, and small businesses. The following items are strictly prohibited: Counterfeit or bootleg items Trademarked or copyrighted merchandise without proper authorization, including Disney or other protected brands AI-generated artwork or AI-created products represented as handmade Any products that misrepresent their origin or craftsmanship We allow select small businesses and a limited number of approved direct sales companies. Violation of these policies may result in immediate removal from the event without a refund. VENDOR PROMOTION Accepted vendors agree to actively help promote the event. Vendors agree to: Share official event graphics on social media Invite customers, family, and friends Promote the event through social media, websites, email lists, and other marketing channels Provide quality product photos if requested Allow Shop & Stroll Markets to use vendor business names, logos, and event photographs for promotional purposes without compensation Successful events are a shared effort. Vendor participation in promotion helps create a stronger event experience for everyone. VENDOR SPACE & SETUP This is an OUTDOOR event located at: Broadway Family Fun Center 2357 Corporation Parkway Burlington, NC Vendors are responsible for providing all equipment and supplies needed for their booth. Each vendor must bring: Their own tent Their own table Tablecloth or table covering Their own chair(s) Proper tent weights to securely anchor the tent Business signage Displays and merchandise stands All necessary booth supplies Tent weights are mandatory. All tents must be properly secured with appropriate weights to help prevent movement or tipping. Stakes alone may not be sufficient or permitted, depending on the event surface. Additional spaces may be purchased based on availability and approval. Booth assignments will be provided at check-in. Vendors must: Stay within their assigned booth space Keep all merchandise and displays within their assigned area Keep aisles, emergency exits, and customer walkways clear at all times Keep their booth clean, professional, and free of hazards Secure tents, displays, merchandise, and equipment properly The following are not permitted: Booth sharing without prior approval Subleasing booth space Merchandise or displays extending into walkways Unsafe or inadequately secured tents and displays Electricity and Wi-Fi are not guaranteed. Vendors requiring electricity must receive prior approval from the Organizer. EVENT SCHEDULE Location: Broadway Family Fun Center, 2357 Corporation Parkway, Burlington, NC Event Hours: 12-4 Vendor Setup: 11 am Vendors must arrive during the designated setup window and be completely ready before the event opens. Vendors must: Unload in designated vendor unloading areas Move vehicles to designated parking immediately after unloading Keep entrances, fire lanes, and customer access areas clear Complete booth setup before the event opens Breakdown: At the designated event closing time, unless otherwise communicated by the Organizer. Vendors must remain set up for the entire event unless approved by the Organizer. Early breakdown is not permitted. Late arrivals without prior approval may result in forfeiture of booth space and vendor fees. REFUND & CANCELLATION POLICY All vendor fees are: Non-refundable Non-transferable No refunds, credits, or transfers will be issued under any circumstances, except where required by applicable law. Refunds will not be provided due to: Vendor cancellation Low attendance Poor sales Weather Event schedule changes Venue adjustments Public safety concerns Emergencies FORCE MAJEURE Shop & Stroll Markets shall not be held liable for cancellations, delays, or modifications caused by circumstances beyond its reasonable control, including but not limited to: Severe weather Natural disasters Government mandates Venue closures Public safety incidents Emergencies Utility failures Other unforeseen events Vendors understand these situations may be outside the control of the Organizer and Venue. Vendor fees remain subject to the refund and cancellation policy above and applicable law. CHARGEBACK POLICY By submitting payment, Vendor acknowledges the refund and cancellation policy and agrees that all sales are final to the extent permitted by law. Vendors are encouraged to contact Shop & Stroll Markets directly to resolve payment concerns before initiating a payment dispute. Nothing in this section waives any rights or remedies that cannot legally be waived. The Organizer reserves the right to pursue lawful collection of unpaid fees and associated costs where permitted by law. LIABILITY Vendors assume responsibility for their own merchandise, equipment, displays, tents, tables, chairs, and booth setup, as well as their own acts and omissions. Vendors are responsible for taking reasonable precautions to prevent: Personal injury Property damage Theft or loss of merchandise Damage to equipment Hazards caused by unsecured tents, displays, or merchandise To the extent permitted by law, Shop & Stroll Markets, its owners, volunteers, staff, venue partners, and affiliates shall not be responsible for vendor losses or damages outside their legal responsibility. Vendors are strongly encouraged to obtain their own liability insurance. PROFESSIONAL CONDUCT Vendors are expected to conduct themselves professionally at all times. The following may result in immediate removal without a refund, subject to applicable law: Harassment Discrimination Aggressive behavior Disruptive conduct Failure to follow reasonable Organizer instructions COMPLIANCE WITH LAWS Vendors are responsible for complying with all applicable local, state, and federal laws, including: Sales tax requirements Health Department regulations Required permits or licenses Applicable product labeling and safety requirements Product liability insurance is optional and is the responsibility of each vendor if they choose to obtain it, unless otherwise required by law or a specific written event requirement. Shop & Stroll Markets does not generally require vendors to carry product liability insurance; however, event insurance does not necessarily provide coverage for: Vendor merchandise Displays Tables and chairs Decorations Equipment Product-related claims Food vendors are responsible for complying with all applicable North Carolina health and food safety regulations and obtaining any required permits or licenses. NO VERBAL AGREEMENTS No verbal promises, statements, or agreements made by Shop & Stroll Markets, its staff, volunteers, or venue partners shall modify this agreement. Changes must be confirmed in writing by an authorized representative of Shop & Stroll Markets. GOVERNING LAW This agreement shall be governed by the laws of the State of North Carolina. Any legal action arising from these Terms & Conditions shall be filed in a court with appropriate jurisdiction in North Carolina. SEVERABILITY If any provision of these Terms & Conditions is determined to be invalid or unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law. AGREEMENT By submitting an application and payment, Vendor acknowledges that they have read, understood, and agreed to these Terms & Conditions.
