VENDOR TERMS & CONDITIONS
Please read these Terms & Conditions carefully before submitting your application.
APPLICATION ACCEPTANCE
Submission of an application does not guarantee acceptance. Vendors are selected based on:
Product category
Product quality
Booth presentation
Professionalism
Overall event needs
Shop and Stroll Markets reserves the right to limit vendor categories to maintain a balanced shopping experience. The Organizer reserves the right to deny or remove any vendor who does not meet event standards or professional expectations.
PRODUCT STANDARDS
The following items are strictly prohibited:
Counterfeit or bootleg merchandise
Trademarked or copyrighted merchandise without proper licensing, including Disney, Universal, Marvel, etc.
AI-generated artwork or AI-created products represented as handmade
Illegal or prohibited items
A limited number of approved small businesses and direct sales (MLM) companies may be accepted.
Vendors may sell only the products listed and approved on their application. Violation of these policies may result in immediate removal from the event without refund.
VENDOR PROMOTION
Accepted vendors agree to help promote the event. Vendors agree to:
Share official event graphics on social media
Invite customers, family, and friends
Provide quality product photos if requested
Allow Shop and Stroll Markets to use their business name, logo, photographs, booth images, and event video for promotional purposes without compensation
Marketing is a shared effort, and vendor participation helps create successful events for everyone. Shop and Stroll Markets will advertise the event; however, each vendor is also responsible for promoting the event to their own customers, followers, family, and friends.
VENDOR SPACE & SETUP
This is an INDOOR AND OUTDOOR event located at:
9078 Hillsville Road
Trinity, NC
Vendor spaces may be located inside the community center or outside in the parking lot. Vendors will be assigned an indoor or outdoor space based on event layout, space availability, and Organizer approval.
Indoor and outdoor spaces may vary in size and configuration.
Vendors must provide:
Table(s) appropriate for their assigned space
Chair(s)
Floor-length table covering
Business signage
Displays that fit entirely within their assigned space
Outdoor vendors must provide:
10x10 pop-up tent
Proper tent weights or other approved means of securing the tent
Table(s)
Chair(s)
Table covering
Additional spaces may be purchased, subject to availability and approval.
PARKING, ENTRANCE & UNLOADING
Vendor parking and unloading instructions will be provided during vendor check-in.
Vendors must allow enough time to unload their tables, displays, merchandise, and supplies and complete setup before the event begins.
Do not leave vehicles unattended in loading areas longer than necessary. Do not park in any fire lane or any place that is clearly marked or marked do not park.
Booth assignments will be provided during check-in.
Vendors must:
Remain within their assigned space
Keep all merchandise and displays inside their booth boundaries
Keep aisles, entrances, walkways, and access areas clear at all times
Follow all Organizer and venue instructions regarding parking, unloading, setup, and booth placement
The following are not permitted:
Booth sharing without prior approval
Subleasing vendor space
Merchandise extending into walkways or other vendor spaces
Displays that create trip hazards
Blocking entrances, exits, fire lanes, or designated access areas
Electricity and Wi-Fi are not guaranteed.
EVENT SCHEDULE
Event Date: November 7
Vendor Check-In & Setup: 11:00 AM
Event Hours: 12:00 PM–4:00 PM
Breakdown: Begins at 4:00 PM
Vendors must remain set up for the entire event. Early breakdown is not permitted.
Late arrivals without prior approval may result in forfeiture of booth space and vendor fees.
REFUND & CANCELLATION POLICY
All vendor fees are:
Non-refundable
Non-transferable
No refunds, credits, or transfers will be issued under any circumstances.
Refunds will not be provided due to:
Vendor cancellation
Low attendance
Poor sales
Weather
Schedule changes
Venue adjustments
Public safety incidents
Emergencies
FORCE MAJEURE
Shop and Stroll Markets shall not be held liable for cancellations, delays, or modifications caused by circumstances beyond reasonable control, including but not limited to:
Severe weather
Natural disasters
Government mandates
Venue closures
Public safety incidents
Emergencies
Utility failures
Other unforeseen circumstances
Vendor understands that these situations are outside the control of the Organizer and venue. Vendor fees remain non-refundable.
CHARGEBACK POLICY
By submitting payment, Vendor agrees that all sales are final.
Vendor agrees not to initiate:
Chargebacks
Payment disputes
Claims through payment processors
Any vendor initiating a chargeback may be permanently prohibited from participating in future Shop and Stroll Markets events.
The Organizer reserves the right to pursue collection of unpaid fees and associated legal costs.
LIABILITY
Vendor assumes full responsibility for:
Personal injury
Property damage
Theft
Loss of merchandise
Damage to equipment
Shop and Stroll Markets, the community center/venue, event staff, volunteers, venue partners, and affiliates shall not be held liable for any injury, loss, theft, or damage occurring before, during, or after the event, except where liability cannot legally be excluded.
INDEMNIFICATION
To the fullest extent permitted by applicable law, Vendor agrees to defend, indemnify, and hold harmless Shop and Stroll Markets, its owners, organizers, officers, employees, volunteers, agents, representatives, and affiliates from claims, damages, losses, liabilities, judgments, costs, and reasonable legal expenses arising out of or related to Vendor’s products, services, booth, displays, equipment, employees, representatives, contractors, guests, or conduct, including Vendor’s negligence, misconduct, violation of these Terms & Conditions, or violation of applicable laws.
INSURANCE
Product liability insurance is optional and is the responsibility of each vendor if they choose to obtain it. The Coordinator's insurance only covers the coordinator and the venue. It does not cover the vendor or their products.
Shop and Stroll Markets does not require vendors to carry product liability insurance; however, event insurance does not provide coverage for:
Vendor merchandise
Products
Displays
Tables
Chairs
Personal property
Product-related claims
PROFESSIONAL CONDUCT
Vendors are expected to conduct themselves professionally at all times.
The following may result in immediate removal without refund:
Harassment
Discrimination
Aggressive behavior
Disruptive conduct
Failure to follow Organizer instructions
COMPLIANCE WITH LAWS
Vendors are responsible for complying with all applicable local, state, and federal laws, including:
Sales tax requirements
Required permits and licenses
Health Department regulations
Food vendors must comply with all applicable North Carolina health and food safety regulations.
INDEPENDENT VENDOR RELATIONSHIP
Vendor is an independent business and is not an employee, partner, joint venturer, agent, or representative of Shop and Stroll Markets. Vendor has no authority to make promises, commitments, agreements, or representations on behalf of Shop and Stroll Markets.
NO VERBAL AGREEMENTS
No verbal promises, statements, or agreements made by Shop and Stroll Markets, event staff, volunteers, or venue partners shall modify these Terms & Conditions.
Only these written Terms & Conditions are binding.
GOVERNING LAW
This agreement shall be governed by the laws of the State of North Carolina. Any legal action arising from this agreement shall be filed exclusively in the appropriate courts within North Carolina.
SEVERABILITY
If any provision of these Terms & Conditions is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
