INFORMATION AND GUIDELINES
Thank you for your interest in the FIESTA Festival. Below is information and mandatory guidelines to participate in FIESTA.
As a food vendor, you will be assigned a 10 x 20 space (unless otherwise indicated) and access to running water. Vendors are encouraged to decorate their booth to make it presentable and festive according to the country represented. The 34th FIESTA Festival will take place on September 19, 2026, in downtown Winston-Salem, (Poplar St. and Marshall St.). In order to maintain the Latin American theme of FIESTA and to meet visitors’ expectations, non-Latino food vendors are encouraged to provide at least one Latin-influenced menu item. Applicants are contacted in the order in which their applications were received, if additional space is available. The same will apply to vendors that submit multiple applications to sell food from the same country. Hispanic League requests that food vendors plan their food capacity according to the FIESTA expected attendance of 20,000 people, in order to maintain an appropriate quantity and quality of food at all times during the event and avoid any shortage of food. Vendors are also required to bring enough staff/volunteers for their booths to maintain an appropriate quality of service, considering not only food quality but consumer waiting times.
When applicable, vendors are required to provide a representative for a conversation with a representative from the Forsyth County Health Department. Any specific questions regarding the event will be addressed at that time. The representatives will be required to sign a statement of agreement regarding festival health and safety requirements.
As a Food Vendor, I commit to comply with the following terms and clauses in this agreement:
1. BOOTH SET-UP AND REMOVAL: Food vendors must set up their assigned booth, remove all vehicles from the Fiesta site, and be ready for inspection by 10:00 a.m. on Saturday September 19. Further set-up and access instructions will be provided by e-mail prior to the event. Vendors shall have its booth open and available 30 minutes prior to opening the doors to the public, and remain open and available during the festival operating hours. Vendor shall not dismantle its truck or exhibit or pack up its displays or merchandise prior to the closing of the festival without express permission of the Logistics Coordinator appointed by FIESTA. At the end of the festival, vendors will leave the assigned space area clean and undamaged and must dispose of oil and garbage properly and not leave garbage on the street.
2. SALES: Food vendors cannot sell or distribute free of charge at FIESTA: Soft Drinks, Water, Ice-cream, Alcoholic Beverages, or any other beverage or items that have not been previously approved by the Logistics Coordinator appointed by FIESTA. Non-compliance of this clause will result in the immediate closing of the truck, no refunds, and the veto of such vendors to participate in any future festivals.
3. COMPLIANCE: Hispanic League Food Committee members reserve the right to inspect all food booths to ensure compliance with the Food Vendor Contract. Vendors must comply with all of North Carolina’s Health Department Food Regulations. Non-compliance will result in the closing immediate of the truck and no refund.
Food Vendors must comply with all County, State and Federal laws, rules, and regulations applicable to the preparation and sale of food. This includes, but is not limited to, having current and valid permits, inspections, and licenses such as a Mobile Food Facility Permit, a Public Health permit, a Food Seller’s permit, and Employee Health permit. Vendors must be prepared and available to undergo inspection by the Organizer or the Department of Health at any point throughout the event. Non-compliance may result in ejection from the event.
4. DAMAGES: The Hispanic League and its FIESTA organizers and sponsors will not be responsible for any damage, accidents, or injury that may happen to Vendor or its agents, employees, representatives or spectators and any and all other participants and/or their property from any cause whatsoever arising out of this Agreement, the Vendor’s lease of space at the Event, or resulting from the Event.
5. WATER: Hot and cold water will be provided. Vendors must provide their own container to transport water to their booth.
6. MENU: Vendors must include with their application a menu describing the food to be served and the prices to be charged during the festival. During the festival, it is suggested all prices must be WHOLE DOLLAR AMOUNTS and be posted in a location visible from the street, using large lettering – Arial 200 font or greater.
7. SECURITY: Vendor is responsible for its own security with respect to money or other forms of monies collected by Vendor. The Hispanic League and its FIESTA organizers will not be responsible for the same.
8. Control Diseases: For your safety and ours, please follow the orders and guidelines issued by the Centers for Disease Control (CDC) and the State of North Carolina to prevent the spread of the COVID-19 virus. Wearing appropriate face coverings is encouraged for all attendees. Hand washing stations and hand sanitizer will be available on-site. Should the Federal or State Guidelines change to make the celebration of Fiesta not viable, and in turn cancelled, the Hispanic League will not be responsible or liable for any damages or losses to the Vendor. 9. INDEMNIFICATION/INDEMNIZACIÓN:
a. Vendor will indemnify the Hispanic League and its FIESTA organizers, the City of Winston-Salem, and Sponsors against any damage or expense relating to bodily injury or death of any person or damage to real and/or tangible personal property, libel, or slander incurred which is caused by the Vendor, its agents, employees, representatives or spectators.
b. Vendor further agrees to indemnify and hold harmless the Hispanic League and its FIESTA organizers, the City of Winston-Salem from and against all claims, liabilities, losses, damages, and expenses incurred (including reasonable legal fees and disbursements of counsel), joint or several (including actions or proceedings in respect thereof), relating to or arising out of this Agreement or the Vendor’s lease of space at the Event.
c. The provisions of this paragraph 9 are intended to apply in all circumstances, regardless of the grounds or nature of any claim asserted (including contract, statute, any form of negligence, whether of the Hispanic League, its FIESTA organizers, the Vendor, or others, tort, strict liability or otherwise) and whether or not the party seeking indemnification was advised of the possibility of the damage or loss asserted, to the extent not contrary to applicable law.
10. INSURANCE: During the performance under this Agreement, Vendor shall maintain the following insurance:
a. General Liability Insurance, including but not limited to coverage for all premises and non-premises operations, independent contractors, broad form property damage coverage, personal injury liability protection, including coverage relating to employment of persons, contractual liability protection, and products and completed operations coverage. This insurance shall provide bodily injury limits of not less than $1,000,000 for each occurrence and property damage limits of not less than $1,000,000 for each occurrence.
b. If applicable, Worker 's Compensation Insurance in accordance with statutory requirements and Employer’s Liability Insurance with limits of not less than $100,000 for each occurrence. In case any service is subcontracted, Vendor shall require the Contractor similarly to provide Worker’s Compensation OR Employer’s Liability Insurance, as appropriate, for all of the Contractor’s employees to be engaged in such work. This Agreement shall be void and of no effect unless Vendor shall secure and keep in effect during the term of this Agreement the Vendor’s compliance with the provisions of the laws of the State of North Carolina.
c. Vendor shall furnish to the Hispanic League certificates of insurance for all of the insurance coverage described herein, no later than thirty (30) days before the festival and certified copies of any amendments and/or renewals to the policies that occur thereafter. At least thirty (30) days' written notice shall be given to the Hispanic League prior to any cancellation, modification or non-renewal of any insurance required under this Agreement. In the event that Vendor does not have General Liability Insurance in the amounts specified above and does not wish to purchase event-specific insurance, Vendor may submit the signed FIESTA INSURANCE WAIVER FORM with this contract.
11. CANCELLATION POLICY: Hispanic League intends that the Event shall take place rain or shine. Other than as set forth in Paragraph 12, below, the festival shall not be canceled. No refunds shall be given on account of weather or for any other reason. The Hispanic League reserves the right to rescind and cancel this Agreement and remove any vendor or representative who performs an act, which, in the opinion of the Hispanic League and its FIESTA organizers, detracts from the dignity of the Festival or is objectionable, unethical, or inappropriate for the purpose of the Festival. Should this occur, all monies paid by the Vendor shall be retained by the Hispanic League.
12. FORCE MAJEURE:
a. If the performance of any part of this Agreement by either party is prevented, hindered, delayed or otherwise made impracticable by reason of any flood, riot, fire, judicial or governmental action, labor disputes, act of God or any other causes beyond the control of either party, including change in COVID-19 guidelines or protocols, that party shall be excused from such performance to the extent that it is prevented, hindered or delayed by such causes, provided, however, that performance shall resume as soon as reasonably feasible thereafter.
b. In the event that the exhibit area or any part thereof shall be destroyed or damaged by fire, rain, wind, natural disaster or other cause, or if by reason of government restriction, the use of said premises or the conducting of the Event is prevented, either before, during or after the Event, Vendor waives any claim for damages or compensation which might arise by reason thereof, except the return of the booth fees if Event is canceled before starting date. No refund will be awarded if the Event is canceled while in progress.
13. ENTIRE AGREEMENT, AMENDMENTS, AND WAIVERS: Vendor agrees to abide by the additional terms and conditions set forth below and acknowledges that the additional terms and conditions are material elements of the parties’ Agreement. This Agreement constitutes and contains the entire agreement between the Parties, and supersedes any and all prior negotiations, conversations, correspondence, understandings, and letters respecting the subject matter hereof.
