2027 SPONSOR TERMS & CONDITIONS


Event: Halfway To Halloween 2027
Dates: Friday, May 7, 2027 & Saturday, May 8, 2027

5055 Ann Arbor–Saline Rd., Ann Arbor, Michigan

 

These Sponsor Terms & Conditions apply to all businesses, organizations, individuals, and entities (“Sponsor”) participating in sponsorship opportunities offered by Halfway To Halloween, LLC (“HTH” or “Organizer”).

 

By submitting a sponsorship application, selecting a sponsorship opportunity, making payment, or otherwise agreeing to participate as a Sponsor, Sponsor acknowledges and agrees to the following terms.

 

1. SPONSORSHIP ACCEPTANCE
All sponsorships are subject to approval by Halfway To Halloween, LLC.

Submission of an application or sponsorship request does not guarantee acceptance. HTH reserves the right to accept or decline a sponsorship when necessary to protect the event, its attendees, participants, reputation, theme, or existing sponsorship commitments.

Sponsorship opportunities may be limited and are subject to availability.

2. SPONSORSHIP BENEFITS
Sponsor will receive only the benefits specifically included in the sponsorship package or à la carte opportunities purchased and confirmed by HTH.

The exact size, location, frequency, duration, and presentation of sponsor recognition may vary based on the sponsorship purchased and the final design and operational needs of the event.

3. PAYMENT
Sponsorship fees must be paid according to the payment deadline provided by HTH.

A sponsorship is not considered secured until required payment has been received unless alternative arrangements have been approved in writing by HTH.

Failure to make payment by the stated deadline may result in the sponsorship opportunity being released to another Sponsor.

4. REFUNDS & CANCELLATIONS
Unless otherwise stated in writing, sponsorship payments are non-refundable once HTH has begun providing sponsorship benefits, ordering or producing materials, creating advertisements, printing merchandise, reserving space, or otherwise committing resources based upon the sponsorship.

If Sponsor cancels its participation, HTH is not responsible for refunding costs already incurred or benefits already provided.

If HTH cancels the entire event and the event is not rescheduled, HTH will determine what portion, if any, of the sponsorship payment may be refunded based upon sponsorship benefits already delivered and expenses already incurred.

5. LOGOS, ARTWORK & DEADLINES
Sponsor is responsible for providing all requested logos, artwork, business names, URLs, promotional information, and other materials by deadlines established by HTH.

Sponsor should provide high-resolution artwork in the format requested whenever possible.

Failure to submit materials by the required deadline may result in Sponsor being excluded from certain printed, digital, merchandise, signage, or promotional materials.

Missing a submission deadline does not automatically entitle Sponsor to a refund.

6. PERMISSION TO USE SPONSOR MATERIALS
Sponsor grants Halfway To Halloween, LLC permission to use Sponsor's submitted name, business name, trademarks, logos, photographs, promotional materials, and approved branding for purposes related to promoting, advertising, producing, and documenting Halfway To Halloween.

This permission includes use on event websites, social media, printed materials, signage, merchandise, maps, advertisements, promotional graphics, video, photography, and other event-related media.

Sponsor represents that it has the authority to provide and authorize the use of all materials submitted to HTH.

7. DESIGN & PLACEMENT
HTH maintains final creative control over event materials.

HTH may resize, reposition, or make reasonable formatting adjustments to Sponsor logos or artwork as necessary to accommodate event designs.

Unless specifically guaranteed in writing, exact placement, proximity to other sponsors, print size, social media posting time, number of impressions, views, engagements, or other marketing results are not guaranteed.

8. EXCLUSIVITY
Sponsorship does not automatically provide category, product, service, or industry exclusivity.

Any exclusive sponsorship arrangement must be specifically identified and approved in writing by Halfway To Halloween, LLC.

Unless exclusivity has been granted in writing, HTH may accept sponsorships from other businesses or organizations offering similar or competing products or services.

9. SOCIAL MEDIA & DIGITAL PROMOTION
When social media recognition is included, HTH will make reasonable efforts to provide the promotional recognition described in the Sponsor's package.

HTH does not guarantee specific reach, impressions, engagement, follower growth, sales, website traffic, or other results from social media or digital advertising.

Sponsor grants HTH permission to tag or identify Sponsor's official social media accounts when appropriate.

10. PRINTED MATERIALS & MERCHANDISE
Sponsors receiving logo placement on shirts, maps, signage, lanyards, printed programs, or other physical materials must submit required artwork before the applicable production deadline.

Once materials have entered production, changes may not be possible.

HTH is not responsible for minor variations in color, sizing, placement, printing, manufacturing, or reproduction.

11. ZONE & NAMING SPONSORSHIPS
Sponsors purchasing a zone or activity sponsorship may receive recognition associated with the designated area as described in their sponsorship agreement.

Zone sponsorship does not transfer ownership, operational control, programming authority, or management of that area to Sponsor.

All event operations, entertainment, placement, safety decisions, décor, scheduling, and programming remain under the control of Halfway To Halloween, LLC.

12. SPONSOR BOOTHS
If a booth space is included with the sponsorship, Sponsor must comply with all applicable HTH vendor, exhibitor, safety, setup, teardown, facility, and operational requirements.

Booth location is determined by HTH and is not guaranteed unless specifically stated in writing.

Sponsor may not transfer, sublease, share, or sell its booth space without prior written permission from HTH.

13. EVENT CHANGES
HTH reserves the right to make reasonable changes to event hours, schedules, entertainment, attractions, layouts, zones, booth locations, programming, signage locations, or other event elements when necessary for operational, safety, facility, weather, attendance, or other circumstances.

Such changes do not automatically constitute cancellation of the event or entitle Sponsor to a refund.

14. FORCE MAJEURE
Halfway To Halloween, LLC will not be responsible for failure or delay caused by circumstances reasonably beyond its control, including but not limited to severe weather, natural disasters, fire, flood, governmental orders, public emergencies, utility failures, facility closures, labor disruptions, acts of God, or other circumstances making the event impossible, unsafe, or impractical to conduct as planned.

HTH may reschedule, modify, relocate, postpone, or cancel affected portions of the event when reasonably necessary.

15. SPONSOR CONDUCT
Sponsors and their representatives are expected to conduct themselves professionally and respectfully toward attendees, staff, volunteers, performers, vendors, haunted attractions, other sponsors, and event participants.

Halfway To Halloween maintains a zero-tolerance policy for bullying, cyberbullying, harassment, hate speech, body shaming, discrimination, threats, or shaming of any kind.

HTH reserves the right to remove a Sponsor or Sponsor representative whose behavior creates a safety concern, substantially disrupts the event, or violates event policies.

Removal for misconduct does not entitle Sponsor to a refund.

16. PROHIBITED OR UNAPPROVED PROMOTIONS
Sponsor may not distribute, display, sell, advertise, or promote products, services, messaging, activities, contests, giveaways, or materials that violate applicable law or event policies.

HTH may require removal of materials or activities that create safety concerns, interfere with event operations, conflict with facility requirements, or were materially misrepresented during the sponsorship approval process.

17. INSURANCE & LIABILITY
Sponsors participating physically at the event are responsible for maintaining any insurance required by law, the venue, or Halfway To Halloween, LLC for their particular activities.

Sponsor assumes responsibility for its employees, contractors, representatives, displays, equipment, products, property, and activities.

To the extent permitted by Michigan law, Sponsor agrees to be responsible for claims, damages, injuries, or losses caused by Sponsor's own negligent or wrongful acts or omissions or those of its employees, agents, or representatives.

Nothing in these Terms is intended to require Sponsor to indemnify HTH for HTH's own negligence or misconduct where prohibited by law.

18. PROPERTY
HTH is not responsible for Sponsor property that is lost, stolen, damaged, misplaced, or left unattended except to the extent liability cannot legally be excluded.

Sponsors are responsible for securing their own merchandise, displays, promotional materials, electronics, equipment, and personal belongings.

19. PHOTOGRAPHY & MEDIA
Sponsor acknowledges that photography, video recording, livestreaming, news coverage, and social media content may occur throughout the event.

Sponsor grants HTH permission to photograph or record Sponsor's event booth, displays, signage, and representatives while participating in the event and to use such event imagery for legitimate promotional, archival, and marketing purposes.

20. NO GUARANTEE OF RESULTS
Sponsorship provides promotional opportunities and event exposure but does not guarantee attendance levels, sales, leads, impressions, media coverage, social engagement, customer acquisition, or any particular financial or marketing result.

21. TRANSFER OF SPONSORSHIP
Sponsorships may not be sold, transferred, assigned, or provided to another business or organization without prior written approval from Halfway To Halloween, LLC.

22. COMPLIANCE WITH LAWS & FACILITY RULES
Sponsor agrees to comply with applicable federal, Michigan, and local laws and regulations, as well as applicable Washtenaw Farm Council Grounds rules and Halfway To Halloween policies.

23. FAILURE TO PROVIDE A SPONSORSHIP BENEFIT
If HTH is unable to provide a specific sponsorship benefit, HTH may, when reasonably possible, provide a substantially comparable promotional benefit.

If a material paid benefit cannot be provided and no reasonable substitute is available, HTH and Sponsor may address the value of that specific undelivered benefit separately.

24. RELATIONSHIP OF THE PARTIES
Sponsorship does not create an employment relationship, partnership, joint venture, agency relationship, endorsement, or ownership interest between Sponsor and Halfway To Halloween, LLC.

Neither party has authority to make commitments or representations on behalf of the other unless specifically authorized in writing.

25. EVENT BRANDING
The Halfway To Halloween name, logos, event artwork, graphics, designs, and other HTH-owned branding may not be altered, reproduced, sold, licensed, or used for purposes unrelated to the approved sponsorship without written authorization from Halfway To Halloween, LLC.

26. TERMINATION OF SPONSORSHIP
HTH may terminate a sponsorship for material violation of these Terms, nonpayment, illegal activity, material misrepresentation, serious safety concerns, or conduct that substantially interferes with the operation of the event.

Where reasonably practical, HTH may provide Sponsor an opportunity to correct a violation before termination.

27. GOVERNING LAW
These Terms & Conditions shall be governed by the laws of the State of Michigan.

Any disputes shall be handled in an appropriate court with jurisdiction in Michigan, subject to any separate written agreement between the parties.

28. ENTIRE AGREEMENT
These Terms & Conditions, together with the Sponsor's approved application, sponsorship selection, invoice, and any written sponsorship agreement issued by HTH, constitute the agreement between the parties regarding the sponsorship.

Any modification must be approved in writing by Halfway To Halloween, LLC.

29. ACKNOWLEDGMENT
By submitting a sponsorship application, purchasing a sponsorship opportunity, signing a sponsorship agreement, or making sponsorship payment, Sponsor acknowledges that it has read, understands, and agrees to these Sponsor Terms & Conditions.
