Terms & Conditions

JACK O’LANTERN JAMBOREE 2026 SPONSORSHIP TERMS AND CONDITIONS, RELEASE OF LIABILITY, ASSUMPTION OF RISK, INDEMNIFICATION, AND LEGALLY BINDING AGREEMENT Event Dates: October 24–25, 2026 Event Hours: Saturday, October 24, 2026: 12:00 PM – 8:00 PM Sunday, October 25, 2026: 12:00 PM – 7:00 PM Location: The Mill on Etowah, Canton, Georgia Organizer: Goin’ Social Events (ā€œOrganizerā€) This Sponsorship Terms and Conditions Agreement (ā€œAgreementā€) constitutes a legally binding contract between Goin’ Social Events and the sponsoring entity (ā€œSponsorā€). By submitting an application, executing a sponsorship agreement, remitting payment, participating in the event, or otherwise accepting sponsorship benefits, Sponsor expressly agrees to be bound by all terms, conditions, waivers, releases, indemnifications, and obligations set forth herein. 1. NATURE OF AGREEMENT AND ACCEPTANCE Sponsor acknowledges and agrees that participation in a large-scale public festival and marketing activation event involves inherent risks, including but not limited to reputational, financial, operational, logistical, and physical risks. Sponsor further acknowledges that this Agreement is intended to allocate risk, limit liability, and establish binding obligations between the parties to the fullest extent permitted under the laws of the State of Georgia. Sponsor’s participation in any capacity shall constitute full, knowing, voluntary, and irrevocable acceptance of all terms contained herein. 2. SPONSORSHIP BENEFITS, BRANDING MATERIALS, AND DELIVERABLE REQUIREMENTS 2.1 Sponsorship benefits shall be strictly limited to those explicitly outlined within the selected sponsorship tier package approved by Organizer in writing. 2.2 Sponsor is solely responsible for the timely submission of all branding assets, including but not limited to: High-resolution logos (vector format preferred: .AI, .EPS, .SVG, or high-resolution .PNG) Brand guidelines (if applicable) Digital advertisements or creative assets Approved sponsor messaging or taglines 2.3 All sponsorship branding materials must be submitted no later than September 1, 2026 at 11:00 PM EST (ā€œMandatory Submission Deadlineā€). 2.4 Failure to submit required materials by the Mandatory Submission Deadline may result in: Exclusion from printed materials Exclusion from LED screen rotations Exclusion from event signage production Replacement with generic or placeholder branding at Organizer’s discretion Forfeiture of certain sponsorship deliverables without refund or compensation 2.5 All materials must be submitted to: jamie@goinsocialevents.com info@goinsocialevents.com Organizer shall have sole discretion in determining placement, sizing, formatting, and usage of all Sponsor branding. 3. SPONSORSHIP USE AND BRAND CONTROL Sponsor acknowledges that Organizer retains full creative and operational control over all event branding, marketing placement, advertising execution, and sponsor integration. Organizer reserves the unrestricted right to: Resize, edit, adapt, or reposition Sponsor logos or materials Reject any branding deemed inconsistent with event aesthetics or family-friendly standards Determine all placement hierarchy and visibility allocation Substitute or modify sponsor exposure methods as necessary for production requirements Sponsor waives any objection to reasonable branding adjustments made in good faith by Organizer. 4. ASSUMPTION OF RISK Sponsor acknowledges and voluntarily assumes all risks associated with sponsorship participation, including but not limited to: Financial loss or diminished return on investment Reputational risk or public perception impacts Marketing performance variability Operational delays or event modifications Weather-related or force majeure disruptions Technical failures, display malfunctions, or digital exposure limitations Crowd behavior or attendance fluctuations Sponsor expressly acknowledges that no guarantees of attendance, sales outcomes, impressions, conversions, or economic return are made or implied by Organizer. 5. RELEASE OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY GEORGIA LAW, SPONSOR HEREBY RELEASES, WAIVES, DISCHARGES, AND COVENANTS NOT TO SUE GOIN’ SOCIAL EVENTS, THE MILL ON ETOWAH, PROPERTY OWNERS, CONTRACTORS, SPONSORS, EMPLOYEES, VOLUNTEERS, SECURITY PERSONNEL, REPRESENTATIVES, AGENTS, AND AFFILIATES (ā€œRELEASED PARTIESā€) FROM ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO: Sponsorship participation Marketing exposure or lack thereof Financial or economic losses Reputational damages Event cancellation, delay, or modification Technical or production errors Acts or omissions of third parties Sponsor agrees that all sponsorship participation is undertaken voluntarily and at Sponsor’s sole risk. 6. INDEMNIFICATION Sponsor agrees to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable attorney’s fees) arising out of or related to: Sponsor’s branding, messaging, or marketing content Sponsor’s products, services, or representations Sponsor’s participation in the event Any breach of this Agreement Any violation of law, regulation, or ordinance by Sponsor Any negligent or intentional act or omission by Sponsor or its agents This indemnification obligation shall survive termination, expiration, or completion of the event. 7. LIMITATION OF LIABILITY To the fullest extent permitted under Georgia law, Organizer shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, lost revenue, or business interruption arising out of or related to this Agreement or event participation. Organizer’s total liability, if any, shall be strictly limited to the amount of sponsorship fees actually paid by Sponsor. 8. MEDIA AND INTELLECTUAL PROPERTY RIGHTS Sponsor grants Organizer a perpetual, worldwide, royalty-free, irrevocable license to use Sponsor’s name, trade name, logos, trademarks, likeness, branding, and submitted materials for purposes of: Event promotion Marketing and advertising Social media content Digital and print materials Future promotional use related to the event or Organizer No additional compensation shall be due for such usage. 9. EVENT CONTROL AND MODIFICATION Organizer reserves the sole and absolute right to modify, reschedule, relocate, or cancel any aspect of the event at any time, with or without notice, due to: Weather conditions Safety concerns Government action or permitting issues Force majeure events Operational necessity Sponsor acknowledges that no refunds or damages shall be owed in such circumstances unless explicitly stated in writing by Organizer. 10. NON-REFUNDABILITY All sponsorship payments are strictly non-refundable unless the entire event is cancelled by Organizer without rescheduling. No refunds shall be issued for: Weather conditions Attendance levels Marketing performance Sponsor dissatisfaction Partial delivery of benefits due to force majeure or operational necessity 11. CONDUCT AND BRAND INTEGRITY Sponsor agrees to maintain professional conduct and shall not engage in any behavior that: Harms the reputation of Organizer or event Violates applicable law or regulations Conflicts with family-friendly event standards Jeopardizes permitting, venue compliance, or public safety Organizer reserves the right to immediately revoke sponsorship privileges without refund if Sponsor violates these standards. 12. GOVERNING LAW AND JURISDICTION This Agreement shall be governed exclusively by the laws of the State of Georgia. Any dispute arising under or related to this Agreement shall be resolved exclusively in the state or federal courts located in Cherokee County, Georgia. 13. SEVERABILITY If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. 14. ENTIRE AGREEMENT This Agreement constitutes the entire understanding between the parties and supersedes all prior oral or written agreements, communications, or representations. ACKNOWLEDGMENT AND ACCEPTANCE By submitting a sponsorship application, making payment, providing branding materials, or participating in any capacity, Sponsor acknowledges that they have read, fully understood, and voluntarily agreed to be legally bound by all terms and conditions contained herein, including but not limited to assumption of risk, waiver of liability, indemnification obligations, and non-refundable payment terms.
