Terms & Conditions
IRON HORSE MUSIC FESTIVAL — VENDOR TERMS & CONDITIONS A program of the Historic Colfax Downtown Association (HCDA), a 501(c)(3) nonprofit organization
By submitting a vendor application and/or paying a space fee for the Iron Horse Music Festival ("the Event"), the applicant ("Vendor") agrees to be bound by the following Terms & Conditions. These Terms are intended to protect the Historic Colfax Downtown Association ("HCDA") and the Vendor community as a whole. Please read carefully before submitting payment.
Event Details
Location: Art Park, South Main Street, Colfax, CA Date: Saturday, October 10th Specific hours and setup schedule will be provided upon confirmation All space fees are final. See Section 8 (No Cancellations & Weather)
Space Assignment & Setup
HCDA assigns vendor locations at its sole discretion, based on spacing, power needs, and traffic flow Vendor is responsible for arriving, setting up, and being fully operational by the time designated at confirmation Vendor must remain on-site and operational through the end of the Event unless otherwise agreed with HCDA in advance Vendor is responsible for its own tent, tables, display materials, and power needs unless otherwise arranged with HCDA
Vendor Conduct & Compliance
Vendor and its staff must conduct themselves professionally and in compliance with all applicable laws Vendor is responsible for keeping its space and surrounding area clean throughout the Event and removing all trash and materials upon departure HCDA may remove any vendor for unsafe conditions or conduct disruptive to the Event
Business Licensing & Compliance Vendor must submit proof of a valid business license as part of the application. Applications will not be approved without this documentation on file.
Vendor must have a copy of its business license (and any applicable seller's permit) available for inspection on-site during the Event. HCDA does not verify, audit, or guarantee ongoing vendor compliance with licensing requirements beyond the application review — responsibility for compliance rests solely with the Vendor.
Insurance & Indemnification Vendor must submit a Certificate of Insurance (COI) naming the Historic Colfax Downtown Association (HCDA) as Additional Insured as part of the application. Applications will not be approved without a COI on file.
Vendor agrees to indemnify, defend, and hold harmless the Historic Colfax Downtown Association, its officers, directors, employees, and volunteers, from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to Vendor's participation in the Event, including but not limited to Vendor's products, equipment, employees, agents, or representatives, except to the extent caused by the gross negligence or willful misconduct of HCDA.
Assumption of Risk Vendor acknowledges that participation in an outdoor public event involves inherent risks, including but not limited to weather, crowds, and equipment hazards, and voluntarily assumes all such risks on behalf of itself, its employees, and agents.
Property & Grounds Care
Vendor may not affix anything to trees, structures, or surfaces within Art Park without prior written approval from HCDA Vendor is financially responsible for any damage caused to Event grounds or property by its equipment, display, or staff No dumping of waste on-site outside of designated disposal areas
No Cancellations & Weather Policy
All space fees are final; no refunds or credits for Vendor cancellation The Iron Horse Music Festival is a rain-or-shine event. HCDA reserves the right to cancel, postpone, or modify the Event due to weather, safety concerns, or circumstances beyond its control. In such cases, HCDA will make reasonable efforts to reschedule or provide credit, but is not obligated to issue cash refunds
Photography & Media Vendor grants HCDA permission to photograph and record Vendor's booth, products, and staff during the Event, and to use such images/footage in promotional materials for the Iron Horse Music Festival and HCDA's broader community revitalization efforts, without additional compensation to Vendor.
Right to Refuse or Remove HCDA reserves the right, in its sole discretion, to decline any vendor application or to remove any vendor from the Event (with or without refund, depending on cause) for violation of these Terms, unsafe conduct, missing documentation, or behavior disruptive to the Event.
Independent Contractor Status Vendor is an independent contractor and is not an employee, partner, agent, or representative of HCDA. Nothing in these Terms creates an employment, joint venture, or partnership relationship.
Governing Law These Terms are governed by the laws of the State of California. Any disputes arising from these Terms or Vendor's participation in the Event shall be resolved in the appropriate courts of Placer County, California.
Acknowledgment By checking the acknowledgment box on the application, submitting payment, or participating in the Event, Vendor confirms that it has read, understood, and agrees to these Terms & Conditions in full, on behalf of itself and any employees, agents, or representatives staffing its booth.
