About the event
Terms & Conditions
Terms & Conditions
This Vendor Agreement ("Agreement") is entered into by and between The Magical Market PBC ("Organizer"), and the undersigned vendor ("Vendor"). By signing below, the Vendor agrees to the following terms and conditions required to participate in the event.
'The Magical Market' Vision
All vendors must offer merchandise that is 'inspired by Disney' or align with the overall theme of the market. The event organizers will review all vendor items to ensure they fit the established aesthetic and creative vision for the event. Products must not include inappropriate language, sexual content, or drug‑related references. Items that do not meet these standards will not be permitted.
Content Rights & Vendor Liability
Vendors are responsible for ensuring that all merchandise, designs, and creative materials they offer do not infringe upon any third‑party intellectual property rights. By participating in the market, vendors affirm that they have secured all necessary permissions or licenses for any protected content used in their products.
Vendors agree to fully indemnify and hold harmless the event organizers from any claims, damages, or legal actions arising from alleged or actual intellectual property violations connected to their merchandise. Any items found to be in violation may be removed from the event at the organizer’s discretion.
Vendor Licensing & Tax Responsibility
Vendor operates as an autonomous contractor and is exclusively responsible for obtaining and maintaining all required local, state, and federal business licenses, if necessary. Vendor is fully responsible for the collection, reporting, and remittance of all applicable sales tax to the appropriate governmental authorities. The market organizers do not collect or remit sales tax on behalf of any vendor.
Liability
The Magical Market and the Embassy Suites WPB (venue) are not responsible for any lost, stolen, or damaged goods, materials or personal belongings. Vendors acknowledge that they participate at their own risk and are solely responsible for safeguarding their products and belongings throughout the event. Depending on the policies of the venue, vendor business insurance will be required for all food and beverage vendors.
Publicity, Promotion & Media Use
Vendor grants the Organizer the unrestricted right to capture photographs and video footage of the Vendor’s booth, displayed goods, and staff during the event. Vendor further allows the Organizer to use, share, and republish images or content sourced from the Vendor’s social media accounts for promotional purposes across the Organizer’s website, email communications, and social media platforms.
Vendor Conduct Guidelines
The Magical Market strives to create a positive, supportive environment for everyone involved. Vendors are expected to treat event staff, fellow vendors, venue personnel, and attendees with kindness, professionalism, and respect throughout the event. To maintain a safe and enjoyable atmosphere, the Organizer is committed to fostering a positive and welcoming environment and does not permit behavior that involves negativity, harassment, or unprofessional conduct. If a vendor’s conduct violates these expectations, they may be asked to leave the event. While refunds cannot be issued in these circumstances, we hope every vendor will help uphold the welcoming community that makes our events special.
Vendor Payment Information
Payment is processed once a vendor has been accepted into the event. A second attempt at the payment will be automatically processed the next day. Should payment or communication not be received within 72 hours, the vendor will be placed on the 'waitlist'.
Arrival / Breakdown
Vendors will receive detailed information about setup times as the market date approaches. To help the event run smoothly, vendors are asked to arrive during their assigned setup window and to remain fully open and operational until the event officially ends. Early booth breakdown is not permitted. Breaking down a booth early disrupts the flow of the event, and vendors who do so may not be invited to participate in future markets.
