Food Vendor Terms and Conditions
--
Definitions
For the purposes of these Terms and Conditions, “Festival” refers to Downriver Pride, produced by Conz Productions LLC, in partnership with the City of Wyandotte. References to “Event,” “Festival,” or “Downriver Pride” are interchangeable unless otherwise specified.
For the purposes of these Terms and Conditions, “Staff” refers to any individual authorized by Conz Productions LLC to act on its behalf at the Festival, including but not limited to event staff, volunteers, contractors, security personnel, and City partners. Any person identified by Conz Productions LLC as having authority at the Festival shall be considered Staff.
Questions or disputes regarding staff authority must be directed to Jake Conz, Owner, Conz Productions LLC, or their designated representative.
Food Truck Inspections and Compliance
The City of Wyandotte Fire Department will conduct thorough inspections of all food vendor and food truck setups to ensure full compliance with local laws, fire codes, safety standards, and regulations. All food trucks and food vendors will be placed in designated vendor areas as determined by Conz Productions LLC and City officials. Failure to pass inspection may result in removal from the event without refund.
Food Truck Placement and Maintenance
Food trucks and food vendor setups must remain strictly within their assigned space and may not extend beyond the designated area. Vendors must maintain a clean, organized, and visually appealing setup throughout the event. All equipment—including generators, tables, signage, prep stations, and storage—must remain within the assigned space and may not obstruct walkways, emergency access routes, or neighboring vendors.
Food Truck Setup and Operational Compliance
Food vendors must supply all equipment required for food preparation, storage, service, and waste disposal. All operations must remain within the assigned space. Vendors must comply with all fire safety requirements, including possession of a properly rated fire extinguisher, safe propane handling, and generator safety protocols. Improper or unsafe setups may result in immediate removal without refund.
Fuel, Propane, and Generator Safety
All propane tanks, fuel containers, and generators must comply with City of Wyandotte Fire Department regulations. Extra fuel or propane storage is prohibited unless approved in advance. Generators must be quiet rated, properly ventilated, and positioned to prevent fumes, heat, or noise from impacting neighboring vendors or attendees.
Surface Protection and Environmental Controls
Food trucks must use drip pans, absorbent mats, or equivalent protective measures beneath cooking and generator areas to prevent grease, oil, or fluid spills. Vendors are financially responsible for any surface damage or cleanup costs resulting from leaks, spills, or improper waste disposal.
Noise and Exhaust Control
Food trucks must direct exhaust away from neighboring vendors and pedestrian areas. Excessive noise, smoke, or odors may result in required corrective action or removal from the event without refund.
Vehicle Movement Restrictions
Food trucks must be fully parked and shut down prior to gates opening and may not move, reposition, or start engines during public event hours. Vehicle movement is permitted only during designated load-in or load-out times and only when directed by event staff or uniformed security.
Merchandise Display and Booth Maintenance
Merchandise must remain strictly within the designated booth area and cannot be displayed outside the confines of the booth. All booths are required to maintain a clean, organized, and visually appealing appearance throughout the event. Inventory—such as boxes, artwork, chairs, and any other items—must remain within the assigned booth space and must not obstruct adjacent booths or walkways in any manner.
Vendor Conduct
Vendors are expected to conduct themselves in a professional, respectful, and cooperative manner at all times. Any conduct deemed inappropriate by Conz Productions LLC, the City of Wyandotte, or Downriver Pride staff may result in removal from current and future Conz Productions LLC events. The festival prioritizes a family-friendly atmosphere, and vendors must align their offerings with this theme. Compliance with all directives from staff and uniformed security regarding site safety and regulations is mandatory.
Vendors exhibiting disruptive or inappropriate behavior toward Conz Productions LLC staff, City of Wyandotte personnel, Wyandotte Municipal Services staff, fellow vendors, Downriver Pride volunteers, or attendees will be asked to leave the event without refund and may be disqualified from participating in future events. Disruptive behavior includes, but is not limited to, swearing, shouting, aggressive actions, threats, or any conduct deemed disruptive by Conz Productions LLC or Downriver Pride staff.
Hawking and Guest Interactions
Vendors are strictly prohibited from engaging in hawking or interacting with guests outside their assigned booth. Hawking is defined as actively soliciting, shouting, or approaching attendees away from the assigned booth space. This policy is enforced to preserve the overall guest experience and maintain a cohesive, enjoyable atmosphere for all attendees. All vendor interactions, including promotions, must occur within the booth area.
Personal Property and Insurance
Vendors are responsible for securing their personal property, including tents, tables, chairs, inventory, and change. Vendors must ensure their displays are properly insured and protected. Conz Productions LLC, the City of Wyandotte, and Downriver Pride staff do not assume liability for any damages to items or displays. Vendors are prohibited from touching or interacting with other vendors' property unless explicit permission has been granted by the owner.
Tent and Display Requirements
Artists must provide their own tent, chairs, tables, and display equipment. Battery-operated lights may be used to showcase artwork. All booths are outdoors, and tents must be secured with a minimum of 40 pounds of weight per leg. Staking tents into the pavement or securing them to nearby objects (such as poles or hydrants) is prohibited. For specific guidance on proper tent weight, vendors should consult festival staff ahead of the event. Only professional-grade tents are permitted. The use of camping tents or tents that differ from the required 10' x 10' size is prohibited. Vendors with improperly weighted tents will be instructed to dismantle their setup and/or leave the event without refund.
Product Rejection and Compliance
The Jury and Conz Productions LLC staff reserve the right to reject items that are deemed inappropriate, in poor taste, or inconsistent with the expected quality or category of products as submitted during the application process. Vendors failing to comply with festival regulations will be required to leave the event immediately, and no refunds will be issued.
Exclusivity
Acceptance as a vendor does not guarantee exclusivity within any product or service category unless explicitly stated in writing by Conz Productions LLC. Any granted exclusivity may be modified or revoked at any time, with or without notice, at the sole discretion of Conz Productions LLC, including but not limited to operational needs, sponsor requirements, safety concerns, or event programming changes
Vendor Attendance and Cancellations
Vendors must commit to being present for the entire duration of the festival and adhere to all scheduled event days and hours. Vendors who fail to attend, arrive late, or leave early without prior approval from Conz Productions LLC will not be eligible for any refund.
Because vendor placement, permitting, marketing materials, staffing, site logistics, and operational costs are finalized well in advance, refunds are limited and strictly enforced according to the following schedule:
- More than 5 months prior to the event start date: 75% refund of booth fee
- Between 5 months and 91 days prior to the event start date: 50% refund of booth fee
- Between 90 days and 61 days prior to the event start date: 25% refund of booth fee
- 60 days or fewer prior to the event start date: No refunds under any circumstances
All cancellation requests must be submitted in writing via email. Approved refunds must be requested within 14 days of cancellation. Failure to submit a refund request within this timeframe will result in forfeiture of any eligible refund.
No refunds will be issued for any reason, including but not limited to weather-related concerns, vendor dissatisfaction with sales performance, failure to obtain required permits, licenses, or insurance, removal due to violations of festival policies or vendor conduct standards, or event modifications, delays, or cancellations permitted under the Force Majeure clause.
NOTE: All application and jury fees are non-refundable under any circumstances, including but not limited to vendor withdrawal, non-acceptance, event modifications, or event cancellation.
Vehicle Access and Parking
Accepted vendors may bring in vehicles during specified unloading times. Once unloaded, vehicles must be promptly removed from the site, with all vehicles cleared by 11:00 AM. Vehicles may return for loading only when directed by festival staff. Vendors are advised to park in City Public parking lots, as there are no assigned vendor parking spaces at Downriver Pride. For parking concerns or special accommodations, vendors should contact Conz Productions LLC in advance.
Traffic and Parking Violations
Wyandotte Police may issue tickets for driving, parking, or standing violations. All participants must comply with local traffic and parking laws. Conz Productions LLC assumes no responsibility for any fines or tickets issued before, during, or after the event. It is the vendor's responsibility to comply with all local regulations.
Exceptions to Rules
Requests for exceptions to any rules must be submitted after receiving the invitation and no less than two weeks before the event date. Approved exceptions will be documented by Conz Productions LLC staff.
Use of Name, Image, and Likeness
By participating in the festival, vendors authorize Conz Productions LLC, the City of Wyandotte, and Downriver Pride staff to use their name, image, and likeness, along with representative samples of their work, for the promotion and advertisement of the festival.
Sales Tax Compliance
Vendors are required to collect and remit Michigan sales taxes in accordance with the law. For registration information, vendors must contact the Michigan Treasury Department at (517) 373-0888.
Insurance and Liability
Vendors must secure proper insurance to protect their property and display. Conz Productions LLC, the City of Wyandotte, and Downriver Pride staff are not liable for any loss or damage. Vendors with insurance must add Conz Productions LLC (P.O. Box 126, Wyandotte, MI 48192) and the City of Wyandotte (3200 Biddle Avenue, Wyandotte, MI 48192) as additional insured parties on their policies, with a minimum coverage of $1,000,000, effective no later than 30 days prior to the event start date. Vendors without insurance must complete and submit the attached waiver form with their application.
Licensing and Permits
Vendors must provide a current and valid copy of all necessary licenses and permits, as required by the Wayne County Health Department and the State of Michigan.
Food Vendor Requirements
Food vendors are responsible for all applicable license fees through the Wayne County Health Department. Vendors must obtain a two-day food vending special license and will be inspected by the Health Department on the first day of the event. Conz Productions LLC reserves the right to modify menus to prevent product duplication and will contact vendors directly if necessary.
Subcontracting and Liabilities
Subcontracting of any booth is strictly prohibited unless explicitly authorized by Conz Productions LLC. If subcontracting is desired, vendors must contact Conz Productions LLC in advance for approval. Conz Productions LLC and the City of Wyandotte assume no responsibility for disputes arising between vendors and subcontractors.
Trash Removal and Cleanliness
Food vendors must regularly remove their trash during the event and ensure their space is clean at the end of each day. Vendors who fail to meet cleanliness standards may be banned from future events. All items must be removed from the site at the conclusion of the festival, and all operations, including storage, preparation, and cleanup, must remain within the assigned booth area. Vendors exceeding their allocated space will be charged for the extra area used. All grease containers must be removed from the site at the end of each day, and vendors are prohibited from pouring grease into sewer drains, with violations subject to a $500 fine. Vendors must cover electrical cords and water hoses; rugs are not allowed.
Overnight Security and Risk
In the event that on-site security is provided overnight, Conz Productions LLC, its staff, and security personnel bear no responsibility for the loss or damage of vendor property. Vendors assume all risks associated with leaving their items overnight.
Documentation and Application Materials
Vendors must submit the following with their application: any required health and safety licenses and certifications from the State of Michigan and/or Wayne County, photos of their display, food, or business, and a copy of their menu and offerings.
Event Schedule Modifications
While the event schedule is currently accurate, Conz Productions LLC reserves the right to modify the schedule at any time. Vendors will be notified of any schedule changes in advance.
ADA Accessibility Compliance
All vendors must ensure that their booth, vehicle, service area, queues/lines, signage, displays, equipment, and any associated setup do not block or interfere with ADA-accessible routes, ramps, entrances, emergency access lanes, or designated accessibility accommodations. Vendors must comply with all applicable federal, state, and local accessibility requirements and must immediately adjust their setup or operations if directed by Conz Productions LLC, the City of Wyandotte, or event staff. Failure to comply with ADA accessibility requirements may result in immediate corrective action or removal from the event without refund.
Interaction with Protesters
Vendors, their employees, volunteers, and staff are strictly prohibited from engaging with, responding to, or interacting with any protesters or individuals attempting to disrupt the event. This includes, but is not limited to, verbal exchanges, physical confrontations, or any action that could escalate or draw attention to the protestors. Vendors are expected to maintain professionalism and focus on their operations, ensuring the safety, comfort, and enjoyment of all attendees.
Any interaction with protesters, especially those that escalate into disruptive or hostile behavior, could result in immediate expulsion from the event and disqualification from future participation in Conz Productions LLC events. Vendors must report any disturbances or protest activity to event staff or security immediately rather than addressing it personally.
The festival is committed to a peaceful, respectful environment for all participants. Vendors are expected to adhere to this policy to prevent unnecessary distractions, ensure the safety of all involved, and maintain the family-friendly atmosphere the event promotes.
Force Majeure / Event Cancellation
Conz Productions LLC reserves the right to delay, modify, relocate, or cancel the event due to weather conditions, public safety concerns, government orders, acts of God, or circumstances beyond its control. In such cases, refunds are not guaranteed and will be issued at the sole discretion of Conz Productions LLC.
Terms and Conditions Subject to Change
These Terms and Conditions are subject to change at any time. Conz Productions LLC reserves the right to update, modify, or alter these terms at its discretion. Any changes will be communicated to vendors in a timely manner. Vendors are responsible for reviewing the Terms and Conditions regularly to ensure compliance with the most current policies. All applicants agree to signing the vendor agreement upon acceptance.
