IMPORTANT INFORMATION
 
EVENT DATE & TIMES:
Saturday, August 2, 2025 (10:00 am to 1:00 pm)

VENDOR REQUIREMENTS:

• Offer FREE Samples 
• Giveaways 
• 10 x 10 tent setup - Table, Tablecloth, signage, products and displays
• Fitness Businesses* - 10 x 10 booth setup with fitness component (ex - TRX Machine, rower, pull up bar, tire or something engaging).

BOOTH FEES: (Deadline July 1, 2025)
Applications will be reviewed and acceptance will be emailed to vendors. Booth fee to be charged upon DDA's acceptance of vendor application. **The DDA reserves the right to refuse any vendor. **    

PARKING:  Parking is available at the Old School Square Parking Garage and is FREE until 4pm each day. 
 
LIABILITY INSURANCE: Vendor must provide a certificate of general liability insurance with a minimum of $1,000,000 coverage.  Certificate of Insurance must name the following as additionally insured:

GENERAL RULES and REGULATIONS:

1. NO CBD Products / Delta 8 Products of any kind permitted at Downtown Development Authority events.
2. Exhibitors will receive a site map with designated booth location and load in directions one week prior to event. 
3. Each Merchant/Business must be ready for load in before the 7:30am designated move-in time.  
4. Merchants/Businesses must provide staffing, TENTS, TABLES, TABLECLOTHS, SIGNAGE, PRODUCTS and DISPLAYS. 
5. Merchants/Businesses are responsible for the collection, payment, and reporting of their own sales tax.
6. You, your staff and area must remain neat, clean and kept in an orderly fashion.  All displays must be contained within booth space.  Conduct and displays must be appropriate.
7. Someone from your staff must manage the booth before, during and through breakdown.
8. Merchant/Business booth must be set up and ready by 9:30 am before event begins at 10 am sharp. If you are not onsite by 8:00 AM, you will forfeit your vendor space. 

 
SECURITY:  Vendors are responsible for all valuables and items in your booth. DDA/ Cold Collective is not responsible for damaged, lost or stolen items.  
 
NO SHOW POLICY: Assigned space and booth fee will be forfeited subject to DDA/ Cold Collective review.

By completing this application, vendor acknowledges that they have read and understand the information provided and requirements for participation and agree to the terms herein.
INDEMNIFICATION AND HOLD HARMELESS AGREEMENT
By completing this application, Merchant/Business  shall indemnify, defend and save harmless to the extent of its insurance coverage, the Downtown Development Authority (DDA) and its member entities which consist of the City of Delray Beach (CITY); Business agrees to defend, indemnify and save harmless the Indemnitees, their officers, agents and employees, against any liability arising from or based upon the violation of any federal, state, county or city laws, by-laws, ordinances or regulations, including but not limited Trademark and Copyright Laws by the Contractor, his subcontractors, agents, servants or employees. Business further agrees to defend, indemnify and save harmless the Indemnitees, their officers, agents, or employees from all such claims, fees, and from any and all suits and actions for every name and description that may be brought against the Indemnitees or their officers, agents or employees on account of any claims, fees, royalties, or costs for any invention or patent, and from any and all suits and actions that may be brought against the Indemnitees, their officers, agents or employees for the infringement of any and all patents or patent rights claimed by any person, firm, or corporation.
The indemnification provided above shall obligate the Business to defend, at his/her own expense or to provide for such defense, at the Indemnitees' option, any and all claims or liability and all suits and actions of every name and description that may be brought against the Indemnitees, their officers, agents, or employees which may result from the operations and activities under this Contract whether the work be performed by the Business, his/her subcontractor or by anyone directly or indirectly employed by either. This Indemnification and Hold Harmless Agreement include all costs and fees including attorney's fees and costs at trial and appellate levels.
