Food Vendor/Truck Agreement for "Max Your Summer Nights"
1. Agreement: By signing this document, the Food Vendor/Truck (hereinafter referred to as "Vendor") agrees to abide by the terms and conditions outlined herein.
2. Event Details:
- The Vendor agrees to participate in the “Max Your Summer Nights” event on Saturday, May 24th from 5:00 PM to 9:00 PM.
- Set-up time is at 4:00 PM.
- The event will take place at Good Roast at Kool Bear parking lot.
- The Vendor will provide non-competing food and beverage items for sale to event attendees (menu must be approved by Made with Max by August 24th before event)
- Unauthorized Sales Fee: The Vendor agrees to pay the Event Organizer a 10% fee on all sales of products or services not explicitly approved in the Vendor's contract. This fee will be calculated based on the Vendor's total sales for the event and is due at the end of the event.
3. Vendor Responsibilities:
- The Vendor agrees to adhere to all applicable health, safety, and sanitation regulations, including obtaining necessary permits and licenses.
- The Vendor agrees to maintain a clean and orderly booth or food truck area.
- The Vendor agrees to comply with all event rules and regulations as provided by the Event Organizer.
- The Vendor agrees to indemnify and hold harmless the Event Organizer from any and all claims, liabilities, damages, or losses arising out of or in connection with the Vendor’s participation in the event, including but not limited to foodborne illness, property damage, and personal injury.
- The Vendor agrees to carry adequate liability insurance to cover potential claims.
- The Vendor agrees to comply with all applicable food safety and handling regulations.
4. Event Cancellation:
- In the event of inclement weather, the Event Organizer reserves the right to postpone the event. The Vendor will be notified of any postponement as soon as possible.
- The Event Organizer is not responsible for any losses incurred by the Vendor due to event cancellation or postponement.
5. Fees:
- The Vendor agrees to pay a fee (below) for participation in the event.
- Payment is due upon acceptance, by August 24th the latest.
6. Insurance:
- The Vendor agrees to provide proof of general liability insurance naming Made with Max as an additional insured.
- The Vendor agrees to carry adequate food service liability insurance.
7. Indemnification: The Vendor agrees to indemnify, defend, and hold harmless the Event Organizer from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or in connection with the Vendor’s participation in the event, including but not limited to foodborne illness, property damage, and personal injury.
8. Food Safety: The Vendor agrees to adhere to all local, state, and federal food safety regulations. The Vendor will provide all necessary permits, licenses, and inspections related to food handling and preparation.
9. Menu and Pricing: The Vendor will submit a menu of items to be sold at the event, including prices, to the Event Organizer for approval by May 20th, 2025.

Terms & Conditions
MADE WITH MAX EVENT VENDOR TERMS & AGREEMENT
By participating as a vendor at a Made With Max event, you agree to the following terms and conditions. Failure to comply with these terms may result in removal from the event without a refund and may impact future participation.
1. Certificate of Insurance (COI)
All vendors are required to provide a Certificate of Insurance (COI) with a minimum liability coverage of $1,000,000, listing Made With Max, LLC as an additional insured. The COI must be submitted no later than one day prior to the event.
2. Site Clean-Up & Waste Disposal
Vendors are responsible for maintaining the cleanliness of their designated area. All trash, debris, and materials must be removed at the end of the event. Vendors who fail to clean up their site may be subject to a cleaning fee of up to $100, which will be deducted from any future participation or billed separately.
3. Vendor Conduct & Neighbor Relations
Vendors are expected to maintain professionalism and be courteous to other vendors, event staff, and attendees. Any behavior deemed disrespectful, disruptive, or aggressive will not be tolerated and may result in immediate removal from the event without refund.
4. Non-Compete Consideration
Made With Max reserves the right to limit vendors selling or offering similar products/services to ensure a diverse and successful marketplace. While exclusivity is not guaranteed, we strive to prevent direct competition between vendors in the same category. Vendor placement and category approvals will be at the sole discretion of event organizers.
5. Refund & Cancellation Policy
All vendor fees are non-refundable, including in cases of event cancellation due to unforeseen circumstances such as inclement weather, government restrictions, or other force majeure events. By signing up as a vendor, you acknowledge and accept this risk.
6. Compliance with Laws & Event Rules
Vendors must comply with all applicable federal, state, and local laws, including health and safety regulations. Vendors are also responsible for obtaining any necessary permits or licenses required for their operations.
7. Sales Tax Compliance
Vendors are responsible for collecting and remitting any applicable Florida state sales tax on their sales. Compliance with Florida tax laws is mandatory.
8. Food Vendor Requirements
Food vendors must comply with Florida Department of Business and Professional Regulation (DBPR) and local health department requirements, including obtaining the necessary licenses and food handling permits.
9. Weather Contingency
Florida weather can be unpredictable. Vendors should have contingency plans for securing their booths and merchandise in case of extreme weather such as high winds or heavy rain. Made With Max is not responsible for damages due to weather conditions.
10. Electrical & Fire Safety
If vendors require electricity, all extension cords and electrical equipment must meet safety standards. Vendors must comply with local fire safety regulations and have appropriate fire extinguishers if necessary.
11. Security & Overnight Storage
If the event spans multiple days, vendors should clarify whether they can leave items overnight and if security will be provided. Made With Max is not responsible for lost or stolen items.
12. No Counterfeit or Prohibited Goods
Vendors are strictly prohibited from selling counterfeit, illegal, or prohibited goods. Violation of this policy will result in immediate removal from the event without refund.
13. Alcohol Sales
NO ALCOHOL ALLOWED.
14. Liability & Indemnification
Made With Max, LLC, its organizers, staff, and affiliates are not responsible for any lost, stolen, or damaged property. Vendors agree to indemnify and hold harmless Made With Max, LLC from any claims, liabilities, damages, or expenses arising from their participation in the event.
15. Event Setup & Breakdown
Vendors must adhere to designated setup and breakdown times as communicated prior to the event. Early teardown is not permitted unless authorized by event staff.
By participating in the event, you acknowledge that you have read, understood, and agreed to these terms and conditions. Failure to comply may result in forfeiture of future vendor opportunities with Made With Max.
