Parking & Permits: All economy size, midsize and standard size vehicles or pickups are to park at any metered parking locations. Vendors will be provided one free parking permit. Trailers will be directed to park at a locally designated location. Information will be provided with confirmation letter, including parking fee.
Licensing: Vendor states that all merchandise offered for sale is properly licensed and that no copyright regulations are being violated. Vendor assumes full responsibility for compliance with licensing and copyright laws. The City of Ferndale reserves the exclusive rights to Official Woodward Dream Cruise merchandise.
Taxes: Vendor remains responsible for all sales, use, employment and other taxes subject to their participation. Vendor must provide a receipt with company name, phone number and address upon any customer request.
Vendor Location: The City of Ferndale reserves the right to make any last-minute changes in the layout necessitated by operational complications. The City of Ferndale decision for site assignments is final.
Site Protection – Waste Disposal: The City of Ferndale holds each participating vendor responsible for the condition and maintenance of their rented area of space(s). During and after the event, each vendor shall assume responsibility for the temporary and permanent condition of their space. Please use 3ml garbage bags for protection. Break down large cardboard boxes and similar materials in compact bundles. Vendors will be monitored to ensure compliance. If an area is stained, the vendor is responsible for restoring it to its former condition or cleaning will be performed by an approved service and all costs will be invoiced to the vendor. Inspection of the event site is conducted each day.
Occupancy & Surrender of Premises: Vendor space shall be made available on an “as is” basis, and it is understood that the Vendor will inspect the space and take whatever actions are necessary to set up and operate in a safe and secure manner. At the conclusion of the event, Vendor shall surrender the premises to the City of Ferndale in as good condition as it was when first occupied by Vendor. The City of Ferndale shall cause to be removed any enclosures, structures, facilities and tents used in connection with the event. If Vendor fails to remove all of its property and effects (including refuse) from the premises within two hours after the closing and the termination of the event, the City of Ferndale may (a) treat such property as abandoned, in which it shall become the property of the event; without liability to Vendor for loss thereof, and Vendor agrees to pay the City of Ferndale on demand any and all expenses incurred in such removal, including court costs, attorney’s fees and storage costs; or (b) dispose of such property in any manner considered appropriate by the City of Ferndale.
Vendor Property & Liability: Vendor exhibits at his/her own risk. The City of Ferndale, nor the Ferndale Dream Cruise, nor its employees or volunteers neither its contributors (collectively “Released Parties”) are responsible for liability insurance coverage for bodily injury and property damage for vendor’s operation. Vendor understands and expressly agrees that the Released Parties are not responsible for providing specific security or protection for any such vendor property and are not responsible or liable in any way for said property, whether or not such loss is due to the negligence of the Released Parties. Should vendor choose to insure said property, its insurance contract should be amended, specifically waiving all rights of subrogation in favor of all the Released Parties. Vendor may not sublet, sublease or share booth space, or sell products not specifically approved on this contract.
Vendor Insurance: Vendor accepts full responsibility for all liability for damages to persons or property arising out of its use and occupancy of the premises and sales of the products thereof.
Default: If Vendor fails to abide by or is in default under any provision of this Agreement, the City of Ferndale shall notify Vendor of such default, and Vendor shall have reasonable time to remedy such default, to require immediate action if the Event is about to begin or is in process. If Vendor does not remedy such default, the City of Ferndale may terminate this Agreement, expel Vendor from the Premises, and re-let the Premises to another party without any further liability or obligation to Vendor. In the event the City of Ferndale does not remedy a default within a reasonable time, Vendor may terminate this Agreement and vacate the Premises without further obligation to City of Ferndale, provided it has complied with these rules and regulations.
Festival Authority: The City of Ferndale shall have complete authority and control over all aspects of the event. The City of Ferndale reserves the right to make any last-minute changes in the layout necessitated by operational complications. The City of Ferndale decision for site assignments is final. It reserves the right in its sole discretion to oversee and make whatever arrangements it deems appropriate for security, crowd control, clean-up, publicity and any other matters affecting the overall Event operation. The City of Ferndale makes no guarantees as to any specific level of Event attendance that Vendor will achieve any specified sales revenue.
Cancellations: If the event or any of its elements should be prevented by any cause beyond promoters control (including but not limited to damage to buildings, riots, labor disputes, acts of God or acts of government), the promoter has the right to cancel with no further liability than a refund, less 10% processing fee, of rent money paid (excluding early-bird special offers). Risk of damage or loss to vendor property is assumed entirely by the vendor.
