DÍA DE LOS MUERTOS FESTIVAL TERMS & CONDITIONS Event Date: Sunday, November 1, 2026 Event Time: 12:00 PM – 7:00 PM Venue: The Mill on Etowah Address: 225 Reformation Pkwy, Canton, GA By applying to participate, registering, purchasing a vendor space, attending, performing, sponsoring, or otherwise participating in the Día de los Muertos Festival (the “Event”), you acknowledge that you have read, understood, and agreed to the following Terms & Conditions. These Terms & Conditions are intended to establish the rules governing participation in the Event and to protect the safety, interests, and operations of the Event, its participants, vendors, performers, sponsors, guests, and venue. 1. ASSUMPTION OF RISK; RELEASE AND HOLD HARMLESS Participation in the Event is voluntary and is undertaken at the participant's own risk. To the fullest extent permitted by applicable Georgia law, each vendor, performer, sponsor, participant, and attendee assumes responsibility for the risks associated with attending or participating in the Event, including risks associated with crowds, weather, temporary structures, equipment, merchandise, food service, transportation, personal property, and other conditions ordinarily associated with an outdoor public event. By participating in the Event, you agree to release, waive, discharge, and hold harmless Goin' Social Events, Luna Del Rio, The Mill on Etowah, and their respective owners, officers, directors, employees, agents, contractors, volunteers, affiliates, sponsors, representatives, and event partners (collectively, the “Released Parties”) from claims, demands, losses, damages, costs, or expenses arising out of or relating to your participation in or attendance at the Event, to the fullest extent permitted by Georgia law. This release includes claims arising from ordinary negligence to the extent such waiver is permitted by applicable Georgia law. Nothing in these Terms & Conditions is intended to waive or release liability that cannot legally be waived under Georgia law, including liability arising from gross negligence or willful or wanton misconduct. 2. PARTICIPATION AT YOUR OWN RISK All vendors, performers, sponsors, and other participants acknowledge that they participate in the Event at their own risk. Participants are solely responsible for: Their personal safety and the safety of their employees, representatives, contractors, and guests. Their merchandise, equipment, vehicles, tents, displays, supplies, and personal property. Proper setup, operation, and breakdown of their booth or activity. Obtaining any licenses, permits, insurance, certifications, or approvals required for their particular business or activity. Compliance with all applicable federal, state, and local laws and regulations. Protecting their property from weather, theft, damage, or loss. Goin' Social Events does not provide insurance coverage for vendors, performers, sponsors, or other independent participants unless expressly agreed to in writing. 3. NO GUARANTEE OF SALES, ATTENDANCE, EXPOSURE, OR PROFIT Participation in the Event does not guarantee: A specific number of attendees; Foot traffic; Sales or revenue; Profit; Leads or customer engagement; Media exposure; Social media exposure; Sponsorship benefits beyond those specifically agreed to in writing; or Any particular level of return on investment. Vendor and participant performance is dependent upon numerous factors outside the control of the Event organizers. Each participant is responsible for its own inventory, staffing, marketing, sales, expenses, and business decisions. 4. NO-REFUND POLICY ALL EVENT, VENDOR, SPONSORSHIP, APPLICATION, REGISTRATION, AND PARTICIPATION FEES ARE NON-REFUNDABLE AND NON-TRANSFERABLE, EXCEPT WHERE OTHERWISE REQUIRED BY APPLICABLE LAW OR EXPRESSLY AGREED TO IN WRITING BY GOIN' SOCIAL EVENTS. Once a vendor space, sponsorship, participation opportunity, or other Event service has been purchased or confirmed, fees will not be refunded due to: Weather; Rain; Wind; Heat; Cold; Storms; Severe weather; Natural disasters; Acts of God; Government action or restrictions; Public health conditions; Power outages; Utility interruptions; Transportation disruptions; Road closures; Traffic conditions; Low attendance; Reduced attendance; Changes in attendance; Vendor dissatisfaction with attendance or sales; Vendor inability to attend; Vendor cancellation; Vendor no-show; Scheduling conflicts; Illness; Staffing issues; Travel difficulties; Equipment failure; Delayed setup; Changes to the Event schedule; Changes to the Event layout; Changes to programming; Changes to performers, entertainment, or vendors; Changes to operating hours; Partial cancellation; Event postponement; Event relocation; Government restrictions or orders; Venue-related circumstances; or Any other circumstance outside the reasonable control of Goin' Social Events. If the Event is modified, shortened, relocated, postponed, or otherwise altered, the participant remains responsible for all fees unless Goin' Social Events expressly determines otherwise in writing. No refund, credit, transfer, or reimbursement will be owed solely because a participant does not receive the sales, attendance, exposure, or other results anticipated by the participant. 5. WEATHER / RAIN OR SHINE POLICY The Event is scheduled to operate as a rain-or-shine event. The Event may continue during rain or other ordinary weather conditions at the discretion of Event management. Event management reserves the right to delay, modify, suspend, relocate, or cancel portions of the Event when weather or other conditions create a safety concern. Participants are responsible for preparing their own booths, equipment, merchandise, displays, and staff for anticipated weather conditions. Vendors are strongly encouraged to bring: Properly weighted tents; Weather-resistant coverings; Tarps or protective materials; Waterproof storage; Appropriate clothing; Additional supplies necessary to protect merchandise and equipment. No refunds will be issued because of weather or weather-related conditions. 6. EVENT CHANGES, DELAYS, POSTPONEMENT, OR CANCELLATION Goin' Social Events reserves the right to modify the Event schedule, programming, entertainment, venue layout, operating hours, vendor placement, event footprint, or other logistical elements when reasonably necessary. Event management may postpone, suspend, relocate, or cancel the Event, in whole or in part, when circumstances make doing so necessary or advisable. Such circumstances may include, without limitation: Severe weather; Natural disasters; Acts of God; Government orders; Public safety concerns; Emergency conditions; Venue restrictions; Utility failures; Transportation disruptions; Security concerns; Labor or staffing issues; Public health concerns; Unforeseen operational circumstances; or Other circumstances outside the reasonable control of Event management. Unless otherwise required by applicable law, such changes do not create a right to a refund, credit, reimbursement, or damages. 7. VENDOR BOOTH REQUIREMENTS All vendors must remain within their assigned booth or designated operating area. Vendors are responsible for providing their own approved equipment and supplies unless otherwise specified in writing. Vendor Requirements Vendors must remain within their assigned footprint. Vendors must maintain a clean and professional presentation. Vendors must staff their booth during the required operating hours. Vendors may not obstruct walkways, entrances, exits, fire lanes, or neighboring booths. Vendors must comply with all applicable fire and safety requirements. Vendors must remove all merchandise, equipment, trash, and personal property at the conclusion of the Event. Only pre-approved vendors may sell food, merchandise, services, or other products. Vendors may not transfer, sublease, or sell their assigned space to another party without written approval. Vendors may not materially change their approved setup without Event management approval. 8. FOOD VENDORS Food vendors are responsible for complying with all applicable health department, food safety, licensing, permitting, fire, and sanitation requirements. Food vendors are solely responsible for: Food preparation; Food storage; Food handling; Temperature control; Employee hygiene; Required permits and licenses; Equipment; Waste disposal; Insurance requirements; and Compliance with applicable law. Goin' Social Events does not guarantee food sales or revenue. Any food vendor found operating in violation of applicable regulations may be required to immediately cease operations and leave the Event. 9. FIRE, PROPANE, AND EQUIPMENT SAFETY Open flames are prohibited unless specifically approved in advance by Event management and permitted by applicable law. Propane tanks and other fuel sources must be: Pre-approved; Properly secured; Operated in accordance with applicable fire and safety requirements; and Used only in approved areas. Event management may prohibit or remove any equipment deemed unsafe. 10. VENDOR PARKING Vendors may use designated areas for loading and unloading. Once unloading is complete, vendors must move their vehicles to designated vendor parking areas. Whenever possible, vendors should park in the designated areas furthest from the primary event footprint, including the dirt lot, in order to preserve convenient parking for attendees. Vehicles may not remain in vendor unloading areas unless expressly authorized by Event management. 11. SMOKING POLICY Smoking is prohibited within the main Event grounds except in areas specifically designated by the venue. Participants and guests must comply with all posted venue smoking policies. Individuals who violate the smoking policy may be removed from the Event. 12. ALCOHOL Alcohol may only be sold, served, possessed, or consumed in accordance with applicable Georgia law, venue requirements, and Event policies. Only authorized and properly licensed parties may sell or serve alcoholic beverages. Participants may not independently sell, distribute, or provide alcoholic beverages without prior written authorization. 13. CONDUCT AND EVENT RULES All participants and attendees must conduct themselves in a safe, respectful, and lawful manner. Participants agree to follow: Event signage; Venue rules; Staff instructions; Security instructions; Fire codes; Health and safety requirements; Alcohol regulations; Noise regulations; Waste disposal requirements; and All applicable federal, state, and local laws. Threatening, abusive, disruptive, discriminatory, violent, or unlawful conduct will not be tolerated. 14. RIGHT TO REFUSE ENTRY OR REMOVE PARTICIPANTS Goin' Social Events and Event management reserve the right, to the fullest extent permitted by law, to: Refuse entry; Remove an attendee, vendor, performer, sponsor, employee, contractor, or other participant; Close or suspend a booth; Remove unsafe equipment; Require changes to a booth or display; Restrict activities that create a safety concern; Deny participation to individuals or entities that violate Event policies; or Take other reasonable action necessary to protect the safety and operation of the Event. Removal from the Event for violation of these Terms & Conditions does not create a right to a refund. 15. PHOTOGRAPHY, VIDEO, AND MEDIA RELEASE By attending or participating in the Event, you acknowledge that photography, video, audio recording, and other forms of media may occur throughout the Event. You grant Goin' Social Events, Luna Del Rio, The Mill on Etowah, and their authorized representatives the right to use photographs, video, audio, likeness, name, voice, and other recorded material captured in connection with the Event for legitimate promotional, marketing, advertising, social media, archival, and informational purposes, without additional compensation, to the extent permitted by law. Vendors and participants are responsible for obtaining any necessary permissions from their employees, representatives, contractors, or other individuals appearing in their own promotional content. 16. PERSONAL PROPERTY Participants are solely responsible for their own property. Goin' Social Events, Luna Del Rio, The Mill on Etowah, and the other Released Parties are not responsible for lost, stolen, damaged, or unattended property belonging to participants or attendees, except to the extent liability cannot legally be waived. Participants should not leave cash, valuables, merchandise, equipment, or personal belongings unattended. 17. INDEMNIFICATION To the fullest extent permitted by Georgia law, each vendor, performer, sponsor, and other participant agrees to indemnify and hold harmless the Released Parties from third-party claims, damages, losses, liabilities, costs, and reasonable expenses arising out of or related to: The participant's negligence or misconduct; The participant's employees, agents, contractors, or representatives; The participant's booth, equipment, merchandise, or operations; The participant's violation of law or Event rules; The participant's failure to obtain required permits or licenses; or The participant's breach of these Terms & Conditions. This provision does not require a participant to indemnify a Released Party to the extent prohibited by applicable Georgia law. 18. COMPLIANCE WITH GEORGIA LAW These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict-of-law principles. Any dispute arising out of or relating to participation in the Event shall be subject to the applicable laws and jurisdiction of the State of Georgia, subject to any mandatory jurisdictional requirements imposed by law. 19. SEVERABILITY If any provision of these Terms & Conditions is determined to be invalid, unenforceable, or contrary to applicable law, that provision shall be limited or modified to the minimum extent necessary to make it enforceable. The remaining provisions shall remain in full force and effect. 20. MODIFICATION OF TERMS Goin' Social Events reserves the right to reasonably modify these Terms & Conditions when necessary to address operational, safety, legal, venue, or regulatory requirements. Material changes may be communicated through Event communications, vendor communications, registration materials, or other reasonable means. 21. ACKNOWLEDGEMENT AND ACCEPTANCE By applying, registering, purchasing a vendor space, accepting a vendor assignment, performing, sponsoring, attending, or otherwise participating in the Día de los Muertos Festival, you acknowledge that you have: Read these Terms & Conditions; Had the opportunity to ask questions regarding participation; Understood the risks associated with participation; Agreed to comply with all Event and venue rules; and Agreed to be bound by these Terms & Conditions. PARTICIPATION IN THE EVENT CONSTITUTES ACCEPTANCE OF THESE TERMS & CONDITIONS.
