TERMS & CONDITIONS Weather — Rain, Cold or Shine The Noel Market at the Porterdale Christmas Parade will take place rain, cold, or shine. The historic Porter Memorial Gym & Village Event Center is a walled, open-air venue with no roof or overhead covering. While the surrounding walls create a unique enclosed setting, vendor spaces remain exposed to the elements from above. Vendors should come prepared for December temperatures, rain, wind, and changing weather conditions and are responsible for providing appropriate protection for themselves, their merchandise, and their displays. Event organizers reserve the right to delay opening, close early, modify event operations, or cancel the event if weather or other conditions become unsafe. βΊ Vendor Setup & Equipment Your vendor fee covers space only. Vendors are responsible for bringing their own tables, displays, tents or canopies, seating, lighting if needed, and any other equipment necessary for their booth. Because the venue has no overhead covering, vendors are strongly encouraged to bring a tent or canopy appropriate for outdoor use. All tents and canopies must be properly secured, with all four legs individually weighted. Acceptable weights include commercial tent weights, securely filled water containers, or other heavy-duty weights securely attached directly to each tent leg. Vendors are responsible for ensuring that all tents, displays, signage, tables, racks, and other equipment are secure and appropriate for weather conditions. Approved Products & Vendor Categories YOU MAY ONLY SELL ITEMS OR PRODUCTS WITHIN THE CATEGORY FOR WHICH YOU WERE APPROVED. Products outside your approved category may not be displayed or sold without prior written approval from the event organizers. If a vendor displays items inconsistent with their approved category, they will first be asked to remove those items. Failure to comply may result in removal from the event and may affect eligibility for future events. Category space is intentionally limited to protect vendor exclusivity and create a balanced market experience. Handmade & Artisan Product Requirement The Noel Market is a curated artisan market. Products offered for sale must be handmade, created, designed, or produced by the approved vendor unless otherwise expressly approved by event organizers. Direct sales, MLM products, resale merchandise, and mass-produced goods are not permitted unless specifically approved in writing. Only foods that comply with applicable Georgia Cottage Food requirements may be sold as artisan vendor products. Food trucks, food tents, prepared-food vendors, and other food-service operations are not permitted unless expressly approved by event organizers and properly permitted for the event. Festive Fun Partners A limited number of spaces are available for approved local small businesses and nonprofit organizations to participate as Festive Fun Partners. Festive Fun Partners are not required to meet the handmade artisan product requirement. Instead, participating businesses and organizations must provide an approved Christmas-themed activity, experience, or engagement for children and families. Approved Festive Fun Partners may display signage, distribute appropriate promotional materials, share information about their organization, and connect with guests while providing their approved activity. Participation does not authorize the sale of products or services unless expressly approved in writing. All activities, displays, promotional materials, and methods of engagement must be approved by event organizers and remain subject to the safety, conduct, and family-friendly standards of the Noel Market. Non-Refundable Fees & Vendor Transfers All vendor fees are non-refundable. Vendor spaces are non-transferable without express written permission from event organizers, including in cases of weather, scheduling conflicts, cancellations, or no-shows. At the sole discretion of event organizers, a vendor may be permitted to transfer their space to another vendor within the same approved category. If a transfer is approved: • A $15 transfer fee will apply • The replacement vendor must submit a complete application • The replacement vendor must pay any applicable application fee • The replacement vendor must be approved before the transfer is complete Approval is not guaranteed. Vendors may not independently sell, give away, or transfer their space to another person or business. β€οΈ Event Organization, Partnership & Funding The Noel Market at the Porterdale Christmas Parade is organized by Sparrow Launch Co., with event funding provided through fundraising efforts of AWAKE Communities International, Inc., a Christian faith-based 501(c)(3) nonprofit organization, EIN: 46-3574607, committed to strengthening communities through prayer, care, creativity, and connection. Fundraising proceeds beyond event-related expenses may be used to support Emonie’s Closet of Champions and/or further the charitable and community-focused work of AWAKE Communities International, Inc., in accordance with the purposes of the fundraiser. Safety Requirements All vendors and Festive Fun Partners must comply with applicable venue, city, and fire-safety requirements. All tents and canopies must be properly secured with appropriate weights on each individual leg. Vendors must also have a fire extinguisher when required by the venue, fire marshal, or applicable local ordinance. All booths must remain clean and safe throughout the event. Walkways, entrances, exits, and emergency access areas must remain clear and free of merchandise, equipment, cords, and other tripping hazards. At the end of the event, vendors are responsible for removing all merchandise, equipment, trash, and personal belongings from their space. Family-Friendly Policy The Noel Market at the Porterdale Christmas Parade is a family-friendly community event. All products, displays, signage, activities, and presentations must be tasteful, positive, and appropriate for guests of all ages. Vendors or Festive Fun Partners displaying inappropriate items will be asked to remove them and may be required to leave the event. Prohibited content includes, but is not limited to: • Products promoting illegal drugs or drug use • Violence or gore • Sexually explicit content or suggestive imagery • Graphic depictions of body parts • Explicit language or offensive material • Occult practices or spiritual readings • Dark spiritual themes • Any other product, activity, display, or presentation deemed inappropriate for the family-friendly nature of the event by event organizers This policy is non-negotiable. Thank you for helping us create a safe and welcoming Christmas experience for guests of all ages. Payment Policy Vendors must provide valid payment information when submitting an application. If a payment attempt is declined, we will contact the vendor and provide an opportunity to resolve the issue. If the issue is not resolved, a second payment attempt may be processed. If the second payment attempt is declined, the vendor’s space may be forfeited and offered to another applicant. Event organizers reserve the right to decline participation and move to the next eligible applicant when payment requirements are not satisfied. Prohibited Items & Activities For the safety of vendors and guests, the following are prohibited: • Firearms, knives, or weapons of any kind • Items intended to cause harm • Illegal drugs or substances • Fireworks or explosives • Hazardous materials • Any item deemed dangerous by event staff, venue management, security, or public-safety officials SMOKING AND VAPING ARE NOT PERMITTED WITHIN THE EVENT VENUE OR DESIGNATED EVENT AREA. Force Majeure If the event is cancelled, delayed, shortened, relocated, or otherwise materially affected by circumstances beyond the reasonable control of event organizers—including severe weather, natural disasters, acts of God, government action, emergencies, public-safety concerns, venue restrictions, or other circumstances that make the event unsafe or impracticable—vendor fees will remain non-refundable. Whenever reasonably possible, organizers may reschedule the event. If a replacement date is offered, approved vendor and Festive Fun Partner spaces will be honored for the rescheduled date unless otherwise communicated by event organizers. β οΈ Liability & Assumption of Risk Sparrow Launch Co., AWAKE Communities International, Inc., the event venue, participating partners, and their respective owners, directors, officers, employees, volunteers, representatives, and agents are not responsible for loss, theft, injury, or damage involving vendor or Festive Fun Partner merchandise, equipment, displays, personal belongings, or vehicles, except to the extent liability cannot legally be waived. Vendors and Festive Fun Partners participate at their own risk and are responsible for the safety, security, setup, operation, and supervision of their own booth, merchandise, equipment, activities, and belongings. Vendors are responsible for complying with all applicable laws, licensing requirements, permits, tax obligations, food regulations, and other requirements applicable to the products or services they provide. By submitting an application and participating in the event, vendors and Festive Fun Partners acknowledge and accept the ordinary risks associated with participation in a public, outdoor, open-air market, including exposure to changing weather conditions.
