### **Vendor Terms & Conditions**By submitting a vendor application and payment, the applicant agrees to the following terms and conditions:1. **Application Approval** – Submission of an application does not guarantee acceptance. Event organizers reserve the right to approve or deny any application based on event needs, product mix, and space availability.2. **Payment Policy** – Full payment is required to reserve a vendor space. **All sales are final. Vendor fees are non-refundable and non-transferable under any circumstances**, including vendor cancellation, inclement weather, or inability to attend.3. **Space Assignment** – Vendor space locations will be assigned solely by the event organizers. Requests for specific locations will be considered but cannot be guaranteed.4. **Setup & Breakdown** – Vendors must arrive during the designated setup period and complete setup before the event opens to the public. Early breakdown or departure before the official event closing time is prohibited unless approved by event management.5. **Vendor Equipment** – Vendors are responsible for providing their own tents, tables, chairs, extension cords, displays, and any other equipment needed for their exhibit unless otherwise specified.6. **Licenses & Permits** – Vendors are responsible for obtaining and maintaining all required business licenses, permits, health department approvals, and insurance required by local, county, state, or federal agencies. Food vendors must comply with all applicable health and safety regulations.7. **Insurance** – Vendors are encouraged to carry general liability insurance. Food vendors and health service providers may be required to provide proof of insurance before participating.8. **Conduct** – Vendors are expected to conduct business professionally and respectfully. The sale of illegal, counterfeit, offensive, or prohibited items is strictly prohibited. Event organizers reserve the right to remove any vendor who violates event policies without refund.9. **Electricity & Utilities** – Electricity may be available only to vendors who request it in advance and pay any applicable fees. Availability is limited and not guaranteed.10. **Liability** – HEM Foundation, Inc., UHealth – University of Miami Health System, NoMi Village, event sponsors, and organizers are not responsible for lost, stolen, or damaged merchandise, equipment, vehicles, or personal property, nor for any injuries sustained during the event.11. **Weather Policy** – This event is scheduled to take place rain or shine unless deemed unsafe by event management or public safety officials. No refunds or credits will be issued due to weather-related conditions.12. **Marketing & Photography** – Vendors grant the event organizers permission to photograph, film, and use images of their booth, products, staff, and displays for promotional, marketing, and archival purposes without compensation.13. **Compliance** – Vendors agree to comply with all event rules, venue regulations, and instructions provided by event staff. Failure to comply may result in immediate removal from the event without refund.**By submitting an application and payment, the vendor acknowledges that they have read, understand, and agree to these Terms & Conditions, including the policy that all vendor fees are final, non-refundable, and non-transferable.**
