FLEXFEST 2026 COMPREHENSIVE TERMS AND CONDITIONS, RELEASE OF LIABILITY, ASSUMPTION OF RISK, INDEMNIFICATION AGREEMENT, COVENANT NOT TO SUE, MEDIA RELEASE, AND LEGALLY BINDING WAIVER Event: FlexFest 2026 – Health & Wellness Festival Date: August 22, 2026 Time: 11:00 AM – 4:00 PM Location: Woodstock Arts Green, Woodstock, Georgia Organizer: Goin' Social Events, LLC ("Organizer") IMPORTANT LEGAL NOTICE THIS DOCUMENT CONTAINS A RELEASE OF LIABILITY, ASSUMPTION OF RISK, WAIVER OF LEGAL RIGHTS, INDEMNIFICATION OBLIGATIONS, AND COVENANT NOT TO SUE. BY APPLYING, REGISTERING, PURCHASING, ACCEPTING, ATTENDING, ENTERING THE EVENT PREMISES, PARTICIPATING, SPONSORING, EXHIBITING, PERFORMING, VOLUNTEERING, CONTRACTING, OR OTHERWISE ENGAGING WITH FLEXFEST 2026 IN ANY CAPACITY, EACH INDIVIDUAL OR ENTITY AGREES TO BE LEGALLY BOUND BY THIS AGREEMENT. IF PARTICIPANT DOES NOT AGREE TO THESE TERMS, PARTICIPANT SHALL NOT ATTEND, ENTER, PARTICIPATE IN, OR REMAIN ON EVENT PROPERTY. 1. PARTIES COVERED For purposes of this Agreement, the term "Participant" shall include, without limitation: Attendees Ticket holders Guests Invitees Spectators Vendors Exhibitors Sponsors Corporate partners Nonprofit organizations Volunteers Independent contractors Subcontractors Service providers Food vendors Food trucks Beverage providers Entertainers Musicians DJs Instructors Demonstrators Wellness providers Fitness professionals Employees Agents Representatives Affiliates Staff members Any accompanying minors Any person entering event grounds The term "Released Parties" shall include: Goin' Social Events, LLC; Woodstock Arts; Woodstock Arts Green; all property owners; landlords; tenants; nonprofit beneficiaries; event partners; sponsors; advertisers; marketing partners; volunteers; security personnel; emergency personnel; contractors; subcontractors; vendors; exhibitors; performers; staff; officers; directors; members; managers; employees; agents; successors; assigns; insurers; affiliates; and all other persons or entities associated with the planning, production, sponsorship, management, operation, promotion, or hosting of the Event. 2. ACKNOWLEDGMENT OF INHERENT RISKS Participant acknowledges and agrees that attendance at or participation in an outdoor public festival inherently involves known and unknown risks, dangers, and hazards that may result in property damage, bodily injury, illness, disability, emotional distress, economic loss, permanent injury, or death. Such risks include, without limitation: Large crowds Crowd movement and congestion Disorderly conduct by third parties Physical activities and demonstrations Exercise and fitness activities Wellness classes Vendor interactions Product demonstrations Slip, trip, and fall hazards Uneven terrain Grass, gravel, pavement, curbs, and walkways Temporary flooring Temporary structures Staging Platforms Tents Canopies Barricades Electrical systems Power cords Generators Lighting systems Sound systems Amplified music Weather conditions Rain Wind Lightning Extreme temperatures Heat exhaustion Heat stroke Dehydration Insect bites Animal encounters Foodborne illness Allergic reactions Contagious illnesses Exposure to communicable diseases Vehicle traffic Golf carts Load-in and load-out operations Criminal acts Theft Vandalism Acts of negligence by third parties Acts beyond Organizer's control Participant acknowledges that these risks may arise from the negligence of Released Parties, other participants, third parties, environmental conditions, or unforeseen circumstances. 3. EXPRESS ASSUMPTION OF RISK Participant knowingly, voluntarily, and expressly assumes all risks associated with attendance and participation in the Event, whether known, unknown, anticipated, or unanticipated. Participant accepts sole responsibility for all injuries, losses, damages, liabilities, costs, and expenses arising from participation. Participant further acknowledges that participation is entirely voluntary and undertaken at Participant's own risk. 4. FITNESS, HEALTH, AND MEDICAL REPRESENTATIONS Participant represents and warrants that they are physically and mentally capable of participating in any activities undertaken during the Event. Participant acknowledges that: No medical services are guaranteed to be available. Emergency response times may vary. Participation in wellness, fitness, exercise, demonstration, or physical activities is voluntary. Organizer makes no representation regarding the safety, efficacy, or suitability of any wellness activity, demonstration, treatment, consultation, product, or service offered by any participant or vendor. Participant assumes all risks relating to physical exertion, medical conditions, injuries, illnesses, and medical emergencies. 5. RELEASE AND WAIVER OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTICIPANT IRREVOCABLY RELEASES, WAIVES, ACQUITS, DISCHARGES, AND FOREVER HOLDS HARMLESS THE RELEASED PARTIES FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, COSTS, EXPENSES, LIABILITIES, JUDGMENTS, OR SUITS OF ANY KIND, WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, ARISING FROM OR RELATED TO THE EVENT. THIS RELEASE APPLIES TO: Personal injury Bodily injury Illness Disease Disability Emotional distress Mental anguish Wrongful death Property damage Property loss Theft Financial losses Economic damages Consequential damages Incidental damages Lost profits Lost revenue Business interruption Reputational harm Any other claim whatsoever WHETHER CAUSED BY NEGLIGENCE, PREMISES CONDITIONS, THIRD PARTIES, ACTS OF GOD, OR OTHERWISE. 6. COVENANT NOT TO SUE Participant expressly agrees never to commence, file, maintain, prosecute, participate in, assist, or support any lawsuit, arbitration, administrative proceeding, or claim against any Released Party arising from or relating to the Event. Participant agrees that this Covenant Not To Sue constitutes a material inducement for Organizer to permit participation. 7. INDEMNIFICATION AND DEFENSE Participant shall defend, indemnify, and hold harmless the Released Parties from and against any and all: Claims Demands Actions Lawsuits Judgments Liabilities Penalties Fines Damages Settlements Costs Expenses Attorney's fees Expert witness fees arising from or relating to: Participant's attendance or participation Participant's employees, contractors, agents, guests, or invitees Participant's products or services Participant's conduct Participant's negligence Participant's intentional acts Participant's violations of law Participant's breach of this Agreement Injury, death, or damage caused by Participant or Participant's property These obligations shall survive the Event indefinitely. 8. VENDOR, SPONSOR, EXHIBITOR, AND PARTNER RESPONSIBILITIES Each vendor, sponsor, exhibitor, nonprofit, partner, and commercial participant shall be solely responsible for: Compliance with all laws Taxes Permits Licenses Insurance Product safety Employee conduct Contractor conduct Inventory Cash handling Sales transactions Consumer protection compliance Product labeling Food safety compliance Alcohol compliance (if authorized) Health department requirements Fire safety requirements Organizer assumes no responsibility for any participant's business operations. 9. INSURANCE REQUIREMENTS Organizer reserves the right to require proof of insurance from any Participant. Failure to provide requested insurance documentation may result in removal from the Event without refund. Organizer's insurance shall not provide coverage for Participant property, employees, operations, products, vehicles, or liabilities. 10. PROPERTY DAMAGE, LOSS, THEFT, AND SECURITY DISCLAIMER Organizer does not provide security guarantees. Released Parties shall not be liable for: Theft Burglary Vandalism Lost property Missing inventory Equipment damage Vehicle damage Fire Water damage Weather damage Product spoilage Utility interruptions Participant bears sole responsibility for safeguarding all property. 11. WEATHER, FORCE MAJEURE, AND EVENT MODIFICATION The Event is intended to operate rain or shine. Organizer reserves the absolute right to: Cancel Postpone Relocate Modify Suspend Terminate the Event at any time for any reason. Organizer shall not be liable for cancellations or disruptions caused by: Weather Natural disasters Pandemics Epidemics Public health concerns Government orders Terrorism Civil unrest Labor disputes Utility failures Supply chain interruptions Venue issues Emergencies Acts of God Any circumstance beyond Organizer's control No refunds shall be required except where Organizer expressly determines otherwise in writing. 12. PAYMENT POLICY All fees paid to Organizer are earned upon receipt. Unless expressly stated otherwise in writing: ALL FEES ARE FINAL, NON-REFUNDABLE, AND NON-TRANSFERABLE. Participant expressly waives any right to chargebacks, payment disputes, reversals, or reimbursement claims. Participant shall be responsible for all collection costs, attorney fees, and expenses incurred by Organizer in recovering disputed funds. 13. RIGHT OF REMOVAL Organizer reserves the unrestricted right to deny admission, revoke participation privileges, remove any person, terminate any agreement, or eject any Participant without refund for any reason deemed necessary by Organizer. Organizer's decisions shall be final and non-appealable. 14. PHOTOGRAPHY, VIDEO, AND MEDIA RELEASE Participant grants Released Parties a perpetual, irrevocable, worldwide, royalty-free license to photograph, record, reproduce, edit, publish, display, distribute, transmit, broadcast, advertise, promote, and otherwise use Participant's: Name Voice Likeness Image Photograph Video footage Logos Trademarks Branding Statements in any media now known or later developed. Participant waives any right to inspect or approve such use and waives all rights to compensation. 15. MINORS Parents and legal guardians assume all risks on behalf of minors. Any adult bringing a minor to the Event agrees to all terms individually and on behalf of the minor. Parents and guardians further agree to indemnify Released Parties for any claims asserted by or on behalf of the minor. 16. NO WARRANTIES Organizer makes no representations or warranties regarding: Attendance Sales volume Sponsorship value Revenue Exposure Marketing reach Business opportunities Event success Event profitability All participation is undertaken at Participant's sole business risk. 17. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF ALL RELEASED PARTIES FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID TO ORGANIZER BY THE CLAIMANT. UNDER NO CIRCUMSTANCES SHALL RELEASED PARTIES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. 18. GOVERNING LAW, VENUE, AND JURISDICTION This Agreement shall be governed exclusively by the laws of the State of Georgia. Participant agrees that exclusive jurisdiction and venue for any dispute shall lie in the state and federal courts serving Cherokee County, Georgia. Participant waives any objection to venue, forum, or jurisdiction. 19. SEVERABILITY If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain fully enforceable and in effect. 20. SURVIVAL All releases, waivers, indemnification obligations, limitations of liability, media rights, payment obligations, and dispute provisions shall survive the conclusion, cancellation, expiration, or termination of the Event. 21. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, representations, negotiations, understandings, and agreements. No modification shall be effective unless made in writing and signed by Organizer. ACKNOWLEDGMENT BY APPLYING, REGISTERING, ATTENDING, PARTICIPATING, VENDING, SPONSORING, PERFORMING, VOLUNTEERING, CONTRACTING, EXHIBITING, OR ENTERING THE EVENT PREMISES, PARTICIPANT ACKNOWLEDGES THAT THEY HAVE READ THIS AGREEMENT IN ITS ENTIRETY, UNDERSTAND ITS TERMS, UNDERSTAND THAT THEY ARE GIVING UP SUBSTANTIAL LEGAL RIGHTS, AND VOLUNTARILY AGREE TO BE LEGALLY BOUND BY ALL PROVISIONS CONTAINED HEREIN.
