Silver Pride 2026 Sponsorship Agreement
Project Pride SRQ, Inc.
By submitting a sponsorship application for Silver Pride 2026, the applicant (“Sponsor”) agrees to the following terms and conditions established by Project Pride SRQ, Inc. (“PPSRQ”).
1. Sponsorship Approval
Submission of a sponsorship application does not guarantee acceptance. All sponsorships are subject to review and approval by PPSRQ. PPSRQ reserves the right to decline any sponsorship that it determines is not aligned with the mission, values, or best interests of the event.
2. Sponsorship Confirmation
Sponsorship benefits are not guaranteed until the sponsorship application has been approved and full payment has been received, unless otherwise agreed to in writing by PPSRQ.
3. Sponsorship Benefits
Sponsor benefits are based on the sponsorship level selected and the materials included in the official Silver Pride 2026 sponsorship package. PPSRQ reserves the right to make reasonable adjustments to sponsorship benefits, logo placement, recognition opportunities, program elements, or event details as needed based on operations, timing, availability, or other event-related considerations.
4. Payment Terms
All sponsorship payments are due according to the terms stated in the application, invoice, or sponsorship materials. Sponsorship benefits may be withheld until payment is received in full, unless otherwise approved in writing by PPSRQ.
5. Sponsor Materials and Deadlines
Sponsors are responsible for submitting all required materials by the deadlines established by PPSRQ, including logos, advertisements, URLs, promotional copy, and other brand assets.
PPSRQ is not responsible for missed recognition opportunities or delayed benefits resulting from incomplete, incorrect, or late submissions.
6. Use of Sponsor Name and Logo
By participating as a sponsor, Sponsor grants PPSRQ permission to use Sponsor’s name, logo, and approved brand materials in connection with Silver Pride 2026 promotional materials, event signage, website content, social media, press materials, and related marketing efforts, unless otherwise agreed in writing.
7. Use of PPSRQ and Event Branding
Sponsor may not use the names Project Pride SRQ, PPSRQ, Silver Pride, or any related logos or event branding except as part of approved sponsorship recognition or with prior written consent from PPSRQ.
Sponsor may not imply any endorsement, partnership, or agency relationship beyond the sponsorship benefits expressly approved by PPSRQ.
8. No Endorsement
Sponsorship of Silver Pride 2026 does not constitute an endorsement by PPSRQ of Sponsor’s products, services, views, or activities. Sponsor may not state or imply that PPSRQ endorses Sponsor except as expressly approved in writing.
9. Optional Booth Participation
Sponsors may elect to participate with an on-site booth space, subject to availability and approval. Any sponsor selecting booth participation must also agree to and comply with the Silver Pride 2026 Vendor Agreement. Sponsors with booth space are responsible for following all applicable vendor rules, event policies, venue requirements, and instructions issued by PPSRQ, event staff, volunteers, venue representatives, and authorized agents.
10. Sponsor Conduct
Sponsor agrees to conduct itself in a professional and respectful manner consistent with the mission, standards, and community-centered nature of Silver Pride 2026.
PPSRQ reserves the right to remove or restrict any sponsor activation, signage, display, material, representative, or conduct that PPSRQ determines, in its sole discretion, to be unsafe, disruptive, discriminatory, noncompliant, misleading, or inconsistent with the event’s mission, values, or standards.
11. Compliance with Laws
Sponsor is responsible for complying with all applicable federal, state, and local laws, regulations, ordinances, and licensing requirements related to its participation in Silver Pride 2026.
If Sponsor participates on-site, Sponsor is solely responsible for any permits, licenses, tax obligations, and approvals required for its activities, products, services, or distribution of materials.
12. Insurance
Sponsors are responsible for maintaining any insurance appropriate to their operations and participation.
Proof of insurance is not required to submit a sponsorship application unless otherwise requested. However, PPSRQ reserves the right to request a current certificate of insurance at any time. If requested, the certificate of insurance must name the following as additional insureds:
• Project Pride SRQ, Inc.
• Senior Friendship Center
Failure to provide requested proof of insurance may result in cancellation of participation or booth access without refund.
13. Cancellation, Changes, and Refunds
Unless otherwise agreed in writing, sponsorship payments are nonrefundable. If Silver Pride 2026 is postponed, modified, interrupted, or canceled due to weather, force majeure, public emergency, governmental action, venue-related issues, utility failure, or other circumstances beyond PPSRQ’s reasonable control, PPSRQ shall not be required to issue a refund. In such circumstances, PPSRQ will make reasonable efforts to provide comparable recognition, alternative benefits, or revised participation opportunities where feasible, but cannot guarantee identical replacement benefits.
14. Force Majeure
PPSRQ shall not be liable for any delay, cancellation, modification, interruption, or failure to perform any obligation related to Silver Pride 2026 when such delay or failure results from causes beyond its reasonable control, including weather, acts of God, natural disasters, public health emergencies, labor disputes, acts of terrorism, governmental restrictions, venue unavailability, or utility interruptions.
15. Indemnification
Sponsor agrees to indemnify, defend, and hold harmless PPSRQ, its officers, directors, employees, volunteers, agents, contractors, and event partners, including Senior Friendship Center, from and against any claims, damages, liabilities, losses, costs, or expenses, including reasonable attorney’s fees, arising out of or related to Sponsor’s participation in Silver Pride 2026, except to the extent caused by the gross negligence or willful misconduct of PPSRQ.
16. Limitation of Liability
PPSRQ shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to Sponsor’s participation in Silver Pride 2026, including lost profits, lost business opportunities, or reputational harm.
17. Right to Modify
PPSRQ reserves the right to make reasonable changes to event programming, sponsorship benefits, venue layout, recognition placements, timelines, or other event details as needed for operational, safety, logistical, or mission-related reasons.
18. Entire Agreement
This Sponsorship Agreement, together with the applicable sponsorship package materials and any written approvals issued by PPSRQ, constitutes the entire agreement between the parties with respect to sponsorship participation in Silver Pride 2026 and supersedes any prior discussions or understandings related to the subject matter herein.
If Sponsor elects booth participation, the Silver Pride 2026 Vendor Agreement is also incorporated by reference and applies to that portion of Sponsor’s participation.
19. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Venue for any dispute arising under this Agreement shall lie in Sarasota County, Florida.
20. Acceptance of Terms
By submitting a sponsorship application for Silver Pride 2026, Sponsor acknowledges that it has read and agrees to these terms and conditions. If Sponsor elects booth participation, Sponsor also agrees to the Silver Pride 2026 Vendor Agreement.
