Sponsorship Terms & Conditions
By submitting a sponsorship application, executing a sponsorship agreement, or remitting payment, the Sponsor agrees to the following Terms & Conditions.
1. Sponsorship Acceptance
Heal Thyself Atlanta reserves the right to approve or decline any sponsorship application for any reason. Payment does not guarantee acceptance until confirmed in writing.
Heal Thyself Atlanta further reserves the right to reject any sponsor whose products, services, marketing practices, or public reputation are inconsistent with the values, mission, image, or standards of the event.
2. Sponsorship Benefits
Sponsor benefits are limited to those expressly outlined in the selected sponsorship package or separately agreed to in writing.
No verbal representations or discussions shall modify the sponsorship agreement unless confirmed in writing by Heal Thyself Atlanta.
3. Payment
Full payment is required by the stated deadline unless otherwise agreed in writing.
Failure to make payment may result in cancellation of sponsorship without notice.
Sponsor benefits may be withheld until payment has been received in full.
4. Cancellation by Sponsor
All sponsorship payments are non-refundable.
If a Sponsor withdraws, cancels participation, fails to attend, or otherwise elects not to utilize sponsorship benefits, no refund, credit, or transfer shall be provided.
5. Event Modification or Cancellation
Heal Thyself Atlanta reserves the right to modify the event's:
* Date
* Time
* Venue
* Layout
* Programming
* Vendor mix
* Attendance capacity
* Marketing strategy
* Sponsorship benefits
as reasonably necessary.
If the event is postponed, Sponsor benefits may be transferred to the rescheduled event.
Heal Thyself Atlanta shall not be liable for any indirect or consequential damages arising from such modifications.
6. Force Majeure
Heal Thyself Atlanta shall not be liable for delays, changes, postponements, or cancellation caused by circumstances beyond its reasonable control, including but not limited to:
* Severe weather
* Fire
* Flood
* Natural disasters
* Government orders
* Public health emergencies
* Utility failures
* Labor disputes
* Civil unrest
* Terrorism
* Transportation disruptions
* Supplier failures
* Acts of God
No refunds shall be required under these circumstances.
7. Sponsor Conduct
Sponsors agree to conduct themselves professionally and respectfully.
Heal Thyself Atlanta reserves the right to remove any Sponsor whose conduct is determined to be:
* Offensive
* Harassing
* Discriminatory
* Unsafe
* Disruptive
* Fraudulent
* Misleading
* Damaging to the reputation of the event
Removal shall occur without refund.
8. Brand Standards
Sponsors shall not display materials that:
* Are obscene
* Are discriminatory
* Promote illegal activity
* Infringe intellectual property rights
* Misrepresent products or services
* Conflict with applicable laws
* Are inconsistent with the family-friendly nature of the event
Heal Thyself Atlanta may require removal of any materials at its sole discretion.
9. Intellectual Property
Each party retains ownership of its respective trademarks, logos, trade names, copyrights, and intellectual property.
Sponsors grant Heal Thyself Atlanta a limited, non-exclusive license to use Sponsor logos and brand assets solely for promoting the event and fulfilling sponsorship benefits.
Sponsors warrant they possess all necessary rights to provide such materials.
10. Marketing Materials
Sponsors are responsible for providing logos, artwork, advertisements, and promotional materials by all published deadlines.
Heal Thyself Atlanta is not responsible for omitted benefits resulting from late submissions.
11. Booths & Activations
If sponsorship includes an activation space, Sponsor agrees to:
* Maintain a professional presentation.
* Operate safely.
* Staff the activation throughout required hours.
* Obtain any permits required by law.
* Comply with all venue rules.
Heal Thyself Atlanta may suspend any activation deemed unsafe or inconsistent with the event.
12. Sampling
Sponsors distributing food, beverages, cosmetics, wellness products, or other samples must comply with all applicable federal, state, and local laws.
Heal Thyself Atlanta assumes no responsibility for Sponsor products.
13. Insurance
Sponsors are solely responsible for their:
* Property
* Equipment
* Displays
* Merchandise
* Inventory
* Employees
* Contractors
* Volunteers
Proof of general liability insurance may be required.
14. Limitation of Liability
To the fullest extent permitted by law, Heal Thyself Atlanta, its owners, officers, employees, volunteers, contractors, affiliates, sponsors, and venue partners shall not be liable for:
* Lost profits
* Lost business opportunities
* Lost sales
* Lost data
* Property damage
* Theft
* Personal injury
* Business interruption
* Consequential damages
* Incidental damages
* Special damages
whether arising in contract, tort, negligence, or otherwise.
15. Indemnification
Sponsor agrees to defend, indemnify, and hold harmless Heal Thyself Atlanta, its owners, officers, employees, volunteers, contractors, affiliates, venue partners, and agents from any claims, damages, liabilities, judgments, losses, costs, expenses, or attorneys' fees arising from:
* Sponsor participation
* Sponsor negligence
* Sponsor products
* Sponsor employees
* Sponsor contractors
* Sponsor advertising
* Intellectual property infringement
* Violation of law
16. Photography & Media Release
Sponsor grants Heal Thyself Atlanta permission to photograph, film, livestream, and otherwise capture Sponsor personnel, displays, products, logos, and activations.
Heal Thyself Atlanta may use such content in perpetuity for promotional, editorial, educational, advertising, and marketing purposes without compensation.
17. No Endorsement
Sponsorship does not constitute endorsement by Heal Thyself Atlanta of any Sponsor's products, services, statements, or business practices.
Likewise, Sponsor shall not imply that Heal Thyself Atlanta endorses any product unless expressly authorized in writing.
18. Compliance with Law
Sponsors agree to comply with all applicable:
* Federal laws
* Georgia laws
* Local ordinances
* Health regulations
* Consumer protection laws
* ADA requirements
* Fire and safety regulations
19. Assignment
Sponsors may not transfer, assign, sublicense, or resell sponsorship rights without prior written approval from Heal Thyself Atlanta.

### 20. Independent Contractors
Nothing contained herein creates a partnership, joint venture, employment relationship, agency relationship, or fiduciary relationship between the parties.
21. Governing Law & Venue
These Terms & Conditions shall be governed by the laws of the State of Georgia.
Any dispute arising out of or relating to the sponsorship shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and Sponsor consents to the jurisdiction of those courts.
22. Severability
If any provision of these Terms & Conditions is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
23. Entire Agreement
These Terms & Conditions, together with the sponsorship package and any written agreement executed by the parties, constitute the entire agreement between the parties and supersede all prior discussions, negotiations, or understandings.
24. Reservation of Rights
Heal Thyself Atlanta expressly reserves all rights not specifically granted herein and may interpret and enforce these Terms & Conditions in its reasonable discretion to protect the integrity, reputation, safety, and success of the event.

25. Acceptance
Submission of a sponsorship application, payment of sponsorship fees, or participation in the event constitutes Sponsor's acknowledgment and acceptance of these Terms & Conditions.
