SPONSORSHIP TERMS & CONDITIONS

1. Application & Category Exclusivity
Approval Rights: All sponsorship applications are subject to approval by Event Management to maintain event quality and brand alignment.
Exclusivity: Category exclusivity is granted only if explicitly specified in the sponsorship package. Unless granted in writing, Event Management reserves the right to engage multiple sponsors within similar categories.

2. Payment Terms & Schedule

All Sponsors are Non-endemic and each sponsorship package is created to fit their individual needs.

Trade: All sponsorships created with the intent to trade services or creative efforts must still complete a contract.

Unfullfilled Trade: Failure to complete agreed upon services or creative efforts will result in loss of booth space and advertising placements.

Deposit: for paid sponsorships, A non-refundable 50% deposit is required upon signing the sponsorship agreement.
Final Balance: Remaining balance is due in full thirty (30) days prior to the first day of the event.
Non-Payment: Failure to meet payment deadlines may result in forfeiture of allocated sponsor benefits, booth space, and advertising placements without refund.

3. Deliverables & Creative Assets

Deadlines: Sponsors must submit high-resolution logos, vector artwork, ad copy, and promotional materials by specified event deadlines.
Asset Delays: Event Management is not responsible for missing print or marketing placements resulting from late artwork submissions.
Trademark Usage: Sponsor grants Event Management a limited license to use sponsor trademarks/logos solely for event promotion and logistics execution.

4. Onsite Activations & Floor Operations

Space Compliance: Booth spaces, displays, and activations must strictly fit designated boundaries and conform to local fire, health, and venue codes.
Sound & Conduct: Sound levels and promotional activities must remain reasonable and must not interfere with surrounding exhibitors, panels, or walkways.
Prohibited Items: AI created, Bootleg merchandise, unapproved items, or inappropriate adult content are strictly prohibited.

Smoking: Smoking, vaping, and drug use of any kind is strictly prohibited within the convention. All smoking and/or vaping must take place outside in designated areas.
5. Credentials & Access

Exhibitor, VIP, and Sponsor badges are issued for authorized staff only and are non-transferable.
Resale, unauthorized duplication, or misuse of credentials will result in immediate confiscation and removal from event grounds.

6. Cancellation & Force Majeure

Sponsor Cancellation: Written notice is required. Deposits are non-refundable. Cancellations made within 60 days of the show receive no refund of payments that were made above Deposit amount.
Force Majeure: Neither party is liable for cancellation or delay due to severe weather, natural disasters, acts of emergency, government mandates, or unexpected venue issues beyond reasonable control. In such events, credits/reallocations for future events will be offered in good faith.

7. Liability & Insurance

Indemnification: Sponsor agrees to indemnify and hold harmless Event Management, the venue, and show personnel against any third-party claims, damage, or injuries caused by sponsor staff or equipment.
Certificate of Insurance (COI): Physical activations or large-scale booths require a COI naming Event Management as additional insured.
