Terms & Conditions

JACK O’LANTERN JAMBOREE 2026 SPONSORSHIP TERMS AND CONDITIONS, RELEASE OF LIABILITY, ASSUMPTION OF RISK, INDEMNIFICATION, AND LEGALLY BINDING AGREEMENT Event Dates: October 24–25, 2026 Event Hours: Saturday, October 24, 2026: 12:00 PM – 8:00 PM Sunday, October 25, 2026: 12:00 PM – 7:00 PM Location: The Mill on Etowah, Canton, Georgia Organizer: Goin’ Social Events (“Organizer”) This Sponsorship Terms and Conditions Agreement (“Agreement”) constitutes a legally binding contract between Goin’ Social Events and the sponsoring entity (“Sponsor”). By submitting an application, executing a sponsorship agreement, remitting payment, participating in the event, or otherwise accepting sponsorship benefits, Sponsor agrees to be bound by all terms, conditions, waivers, releases, indemnifications, and obligations set forth herein. 1. NATURE OF AGREEMENT AND ACCEPTANCE Sponsor acknowledges that participation in a large-scale public festival and marketing activation involves inherent risks, including but not limited to reputational, financial, operational, logistical, and physical risks. This Agreement is intended to allocate risk, limit liability, and establish binding obligations to the fullest extent permitted under the laws of the State of Georgia. Participation in any capacity constitutes full, knowing, voluntary, and irrevocable acceptance of these terms. 2. SPONSORSHIP BENEFITS, BRANDING MATERIALS, AND DELIVERABLE REQUIREMENTS 2.1 Sponsorship benefits are limited strictly to those outlined in the selected and approved sponsorship tier. 2.2 Sponsor is solely responsible for timely submission of all branding assets, including: • High-resolution logos (vector preferred: .AI, .EPS, .SVG, or high-resolution .PNG) • Brand guidelines (if applicable) • Digital advertisements or creative assets • Approved messaging or taglines 2.3 All materials must be submitted no later than September 1, 2026 at 11:00 PM EST (“Mandatory Submission Deadline”). 2.4 Failure to meet this deadline may result in, at Organizer’s sole discretion: • Exclusion from printed materials • Exclusion from LED screen placements • Exclusion from signage • Use of placeholder branding • Forfeiture of deliverables without refund 2.5 Materials must be submitted to: jamie@goinsocialevents.com info@goinsocialevents.com Organizer retains sole discretion over placement, sizing, formatting, and usage. 3. SPONSORSHIP USE AND BRAND CONTROL Organizer maintains full creative and operational control over all branding, marketing, and sponsor integration. Organizer reserves the right to: • Resize, edit, or reposition branding assets • Reject materials inconsistent with event standards • Determine placement hierarchy • Modify exposure methods as needed Sponsor waives objection to reasonable adjustments made in good faith. 4. ASSUMPTION OF RISK Sponsor voluntarily assumes all risks associated with participation, including but not limited to: • Financial loss or reduced ROI • Reputational impact • Marketing performance variability • Event modifications or delays • Weather or force majeure disruptions • Technical or production issues • Attendance fluctuations No guarantees of attendance, impressions, or return are made or implied. 5. RELEASE OF LIABILITY To the maximum extent permitted by Georgia law, Sponsor releases and agrees not to sue Goin’ Social Events, The Mill on Etowah, and all affiliated parties (“Released Parties”) from any claims arising out of or relating to: • Sponsorship participation • Marketing exposure or lack thereof • Financial or reputational loss • Event changes or cancellation • Technical or third-party issues Participation is voluntary and at Sponsor’s sole risk. 6. INDEMNIFICATION Sponsor agrees to defend, indemnify, and hold harmless the Released Parties from any claims, damages, liabilities, or expenses (including attorney’s fees) arising from: • Sponsor branding or messaging • Sponsor products or services • Participation in the event • Breach of this Agreement • Violations of law • Negligent or intentional acts This obligation survives the event. 7. LIMITATION OF LIABILITY Organizer shall not be liable for indirect, incidental, or consequential damages, including lost profits or revenue. Total liability, if any, is limited to sponsorship fees actually paid. 8. MEDIA AND INTELLECTUAL PROPERTY RIGHTS Sponsor grants Organizer a perpetual, worldwide, royalty-free, irrevocable license to use Sponsor’s name, logo, and materials for: • Event promotion • Marketing and advertising • Social media and digital content • Future promotional use No additional compensation shall be owed. 9. EVENT CONTROL AND MODIFICATION Organizer reserves the right to modify, reschedule, relocate, or cancel the event due to: • Weather • Safety concerns • Government action • Force majeure • Operational necessity No refunds or damages shall be owed unless explicitly stated. 10. NON-REFUNDABILITY All sponsorship payments are non-refundable unless the event is fully canceled without rescheduling. No refunds will be issued due to: • Weather • Attendance levels • Marketing performance • Sponsor dissatisfaction • Partial benefit delivery 11. CONDUCT AND BRAND INTEGRITY Sponsor agrees to maintain professional and lawful conduct. Prohibited behavior includes actions that: • Harm event or Organizer reputation • Violate laws or regulations • Conflict with family-friendly standards • Jeopardize safety or compliance Organizer may revoke sponsorship without refund for violations. 12. GOVERNING LAW AND JURISDICTION This Agreement is governed by the laws of the State of Georgia. All disputes shall be resolved in Cherokee County, Georgia. 13. SEVERABILITY If any provision is deemed unenforceable, all remaining provisions remain in effect. 14. ENTIRE AGREEMENT This Agreement represents the full and complete understanding between the parties and supersedes all prior agreements. ACKNOWLEDGMENT AND ACCEPTANCE By submitting an application, making payment, providing materials, or participating in any capacity, Sponsor acknowledges that they have read, understood, and agreed to be legally bound by all terms of this Agreement, including assumption of risk, waiver of liability, indemnification, and non-refundable payment terms.
