By signing below, the sponsor agrees to the selected sponsorship level or vendor commitment and to remit payment or fulfill in-kind contributions by November 1st. This Sponsorship Agreement (“Agreement”) is entered into on date of execution, by and between: CAN Community Health, Inc. (“Organizer”), a nonprofit organization located at 2105 N. Nebraska Ave. Tampa, FL 33602 and [Sponsor Name] (“Sponsor”), located at [Sponsor Address]. Together referred to as the “Parties.” The purpose of this Agreement is to establish the terms under which Sponsor will provide in-kind products, services, or promotional support (collectively, “contributions”) to Organizer in exchange for sponsorship recognition at No Day but Today: CAN Community Health World AIDS Day Event, taking place on December 1st, 2025 at CAN Community Event Center: 2105 N. Nebraska Ave Tampa, FL 33602. Organizer agrees to provide Sponsor with the following recognition: Advertising Logo placement on print ads Logo placement on program guide Logo placement on all event signage Half-page ad in program guide Additional Items Logo placement on stage screens promoting Silver Sponsor 4 VIP meet-and-greet tickets 5 general admission tickets Pre-event social media mention tagging sponsor Sponsor represents and warrants that Sponsor has the full and unqualified lawful right to use any logo, trademark, mark, or symbol (collectively, “logos”) used by, directly or indirectly, Sponsor pursuant to this Agreement. Moreover, Sponsor shall indemnify, defend and hold Organizer harmless against any claim, liability, demand, or lawsuit, at law or at equity, of any nature, asserted against Organizer as a result of Sponsor’s negligence, reckless disregard, or intentional misconduct or noncompliance with this Agreement. Neither party shall be liable for any special, incidental, consequential, or punitive damages arising under or in relation to this Agreement. Moreover, Sponsor acknowledges and agrees that Organizer, to the maximum extent permitted by law, shall have no liability in excess of either the estimated value of Sponsor’s contribution or One Thousand Dollars [$1,000], whichever is lower. Sponsor grants Organizer a non-exclusive right to use Sponsor’s logos for purposes of this Agreement. By signing below, Sponsor acknowledges and agrees that sponsorship recognition is expressly contingent upon timely payment (if applicable) and receipt of promotional materials (e.g., logos, ads). Sponsorship contributions are non-refundable. In the event of cancellation due to unforeseen circumstances, CAN Community Health will make reasonable efforts to reschedule or offer alternative promotional opportunities. Vendor commitments are non-refundable. CAN Community Health reserves the right to approve or decline sponsorships based on alignment with our mission and values. This Agreement constitutes the entire understanding between the Parties and supersedes all prior discussions or agreements. Any amendments must be made in writing and signed by both Parties. This Agreement shall be governed by the laws of the State of Florida. Any dispute arising under or in any way relating to this Agreement may only be brought in the state court in Hillsborough County in the state of Florida's.
