These Terms & Conditions ("Terms") govern all sponsorships of the Event. By applying for a sponsorship, the sponsor ("Sponsor") agrees to these Terms.
1. ELIGIBILITY & ALIGNMENT
Sponsor affirms support for LGBTQIA+ inclusion, dignity, and safety. Organizer may decline or cancel sponsorships that conflict with Event values at Organizer’s reasonable discretion. Sponsor must comply with all applicable laws, venue rules, and Event policies.
2. SPONSORSHIP PACKAGES & BENEFITS
Sponsorship benefits are as described in the Sponsorship Prospectus or fully executed order form ("Order"). Organizer will make commercially reasonable efforts to deliver benefits and may provide comparable substitutions if necessary. Exclusivity exists only if expressly stated in the Order.
3. FEES, INVOICES & TAXES
All sponsorship fees are due within the timeframe stated on the invoice. Fees are exclusive of taxes; Sponsor is responsible for any applicable taxes.
4. BRANDING & TRADEMARKS
Each party retains ownership of its trademarks. Limited permission is granted to use the other party’s marks solely for Event promotion. Organizer reserves the right to remove any materials that are inconsistent with Event values or policies.
5. ON-SITE PRESENCE & ACTIVATIONS
All on-site activations, signage, giveaways, or sampling must be pre-approved and comply with venue, safety, accessibility, and security requirements. Sponsor is responsible for the conduct of its representatives.
6. ACCESSIBILITY, SAFETY & INCLUSION
Sponsor agrees to maintain an accessible, inclusive, and harassment-free environment. Discriminatory, hateful, or unsafe behavior will not be tolerated.
7. INSURANCE & LIABILITY
If participating on-site, Sponsor shall maintain Commercial General Liability insurance with limits of at least $1,000,000 per occurrence. Sponsor agrees to indemnify and hold harmless Organizer from claims arising from Sponsor’s participation.
8. FORCE MAJEURE
Organizer is not responsible for delays, changes, or cancellation due to circumstances beyond reasonable control, including weather, public safety concerns, or governmental orders.
9. CANCELLATION
Sponsor cancellations may result in partial or full forfeiture of fees depending on timing. If the Event is cancelled, Organizer may offer a refund or credit at its discretion, less non-recoverable costs.
10. DATA PRIVACY
Sponsor must obtain appropriate consent for any collection of personal data and comply with applicable privacy laws. Attendee lists will not be shared unless explicitly stated in the Order.
11. NON-ENDORSEMENT
Sponsorship does not imply endorsement of Sponsor’s products, services, or views.
12. GOVERNING LAW
These Terms are governed by the laws of the State of Indiana. Venue for any disputes shall be in Indiana courts.
13. ENTIRE AGREEMENT
These Terms, together with the Order, constitute the entire agreement between the parties.
14. PHOTO, VIDEO & MEDIA RELEASE
Sponsor acknowledges and agrees that Organizer and its designees may photograph, record, or otherwise capture Sponsor’s participation, branding, representatives, and on-site activations during the Event. Sponsor grants Organizer a perpetual, royalty-free, non-exclusive license to use, reproduce, distribute, and display such photographs, video, and audio recordings, in whole or in part, for Event promotion, marketing, documentation, and reporting purposes, in any media now known or later developed, without further approval or compensation.
