Boo Orlando 2025 Vendor Terms and Conditions
1. Acceptance and Agreement
1.1. Binding Agreement: Submission of a vendor application and subsequent acceptance by Boo Orlando constitutes a legally binding agreement between the Vendor and Boo Orlando (The Event). 1.2. Payment: All fees must be paid in full by the date specified in the Acceptance Letter. Failure to pay on time may result in the forfeiture of the vendor space without refund.
2. Event Details and Logistics
2.1. Event Dates & Times: Vendors must operate during all specified operating hours for the dates they have registered for. 2.2. Setup and Teardown: * Setup: Vendors must adhere strictly to the assigned setup schedule. All vehicles must be removed from the event grounds by the designated time. * Teardown: Vendors may not begin teardown until the event closes on their final contracted night. Any vendor leaving early will forfeit all future application privileges. 2.3. Space Assignment: Booth locations are assigned solely by Boo Orlando management. Requests are noted but not guaranteed. Management reserves the right to relocate any Vendor at any time.
3. Products and Services
3.1. Product Approval: Vendors may only sell products or services listed and approved in their application. Any addition of products requires prior written approval from Event management. 3.2. Thematic Restriction: As a family-friendly event, the sale or display of products featuring gore, extreme violence, explicit sexual content, real or replica weapons, or demonic themes is strictly prohibited. 3.3. Exclusivity: Boo Orlando does not guarantee product exclusivity. 3.4. Prohibited Items: The sale or distribution of illegal substances, alcoholic beverages (unless specifically licensed by the Event), or items that infringe upon third-party copyrights/trademarks is strictly forbidden.
4. Financial and Cancellation
4.1. Fees: The agreed-upon booth fee is non-refundable, except as detailed in Section 4.2. 4.2. Cancellation by Vendor: If a Vendor cancels after being accepted, no refund will be issued. 4.3. Cancellation by Event: If Boo Orlando is canceled in its entirety by Event management due to reasons other than Force Majeure (see Section 6.2), Vendors will receive a [e.g., 75% refund] of their booth fee. 4.4. Taxes and Permits: Vendors are solely responsible for obtaining all necessary licenses, permits, and insurance, and for the collection and payment of all applicable local, state, and federal taxes (including Florida sales tax).
5. Booth Requirements and Conduct
5.1. Appearance: Vendors must maintain a professional and clean appearance. Booth displays should fit the Halloween theme and must not obstruct walkways or neighboring booths. 5.2. Electrical: Vendors requiring electricity must specify this on their application. Use of generators or non-approved extension cords is prohibited. 5.3. Insurance: All vendors must provide proof of Commercial General Liability Insurance with a minimum coverage of [$1,000,000 USD] and name Boo Orlando [Insert Legal Name of Event Organizer] as an additional insured party.
6. Indemnity and Liability
6.1. Indemnification: The Vendor agrees to indemnify and hold harmless Boo Orlando, its organizers, agents, and staff from and against any and all claims, damages, liabilities, and expenses (including legal fees) arising from the Vendor's activities, operations, or negligence during the Event. 6.2. Force Majeure: Boo Orlando is not liable for failure to perform its obligations if such failure is caused by an act of God, severe weather, governmental order, epidemic, terrorism, or other circumstances beyond its reasonable control. In such an event, no refunds will be issued. 6.3. Theft/Damage: Boo Orlando is not responsible for any damage to or loss or theft of a Vendor's property.
7. Amendment and Enforcement
7.1. Amendments: Boo Orlando reserves the right to make changes to these T&Cs at any time, with written notice provided to all registered Vendors. 7.2. Enforcement: Failure to comply with any of these Terms and Conditions may result in the Vendor being immediately expelled from the Event without refund or recourse.
