Vendor Application Terms & Conditions
These Terms & Conditions (“Agreement”) apply to all vendors (“Vendor,” “you,” or “your”) applying to participate in [Wave Fest 2025] (“Festival”), organized by [Water Wave TV & MN Legit] (“Organizer”). By submitting a vendor application, you agree to the following:
1. Application & Acceptance
- All applications are subject to review and acceptance by the Organizer.
- Submission of an application does not guarantee participation.
- Vendors will be notified of acceptance via email or phone.
2. Fees & Payments
- Booth fees must be paid in full by the deadline stated in the vendor confirmation.
- Payments are non-refundable unless the Organizer declines your application.
- Late payments may result in forfeiture of booth space.
3. Booth Space & Setup
- Vendors will be assigned a booth space determined solely by the Organizer.
- Booth setup times and breakdown times will be provided in advance and must be strictly followed.
- Vendors are responsible for their own tables, tents, chairs, signage, and display materials unless otherwise agreed.
- All displays must be safe, stable, and contained within the assigned booth footprint.
4. Permits, Licenses & Compliance
- Vendors are responsible for obtaining and maintaining all required permits, licenses, and insurance needed to operate.
- Vendors must comply with all federal, state, and local laws, including any festival-specific rules.
5. Prohibited Items & Activities
- The sale or distribution of illegal, counterfeit, or unsafe products is strictly prohibited.
- No unauthorized food, beverage, alcohol, or cannabis sales are allowed unless expressly approved in writing by the Organizer.
- Music, amplified sound, or activities that disrupt other vendors or performances are not permitted without prior approval.
6. Insurance & Liability
- Vendors are required to maintain liability insurance and may be asked to provide a Certificate of Insurance naming the Organizer as an additional insured.
- Vendors assume full responsibility for their property, merchandise, and staff.
- The Organizer is not liable for loss, theft, damage, or injury occurring at the Festival.
7. Conduct & Representation
- Vendors and their staff must conduct themselves in a professional, respectful manner at all times.
- Harassment, discrimination, or disorderly conduct will result in removal without refund.
- Vendors are expected to keep their areas clean and leave the space in the condition it was provided.
8. Cancellation & Force Majeure
- If a Vendor cancels after acceptance, booth fees are non-refundable.
- The Organizer reserves the right to cancel or reschedule the Festival due to weather, safety concerns, or circumstances beyond its control. In such cases, refunds or credits may be offered at the Organizer’s discretion.
9. Marketing & Media Release
- By participating, Vendors grant the Organizer the right to use their business name, logo, images, and likeness for promotional purposes related to the Festival.
- Vendors may promote their participation in the Festival using approved logos and branding provided by the Organizer.
10. Agreement to Terms
By applying and submitting payment, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
