LOGAN STREET MARKET- TEMPORARY USE AGREEMENT This Temporary Use Agreement (“Agreement”) is entered into by and between Logan Street Market, a Kentucky S-Corporation and Public Benefit Corporation (“LSM” or “Licensor”), and the undersigned vendor (“Licensee”), in consideration of and as a precondition to obtaining the temporary right to use designated space at Logan Street Market (“Market”). 1. Use of PremisesLicensee is granted a temporary license to occupy space as assigned by LSM. Licensee acknowledges that space assignments are temporary, non-transferable, and made at the sole discretion of LSM. 2. Terms and ConditionsDepending on the specific location, the term of Licensee’s right to occupy space within the Market shall be on Saturday and/or Sundays. There is no guarantee of renewal, no right to a specific location, and no lease is created by this Agreement. 3. Fees• One-time annual registration fee: $25.00 (non-refundable, due at application).• Space fee: $35.00 per day for table top and $50 per day for 10 x 10 booth, due the Tuesday prior to each reserved Saturday or Sunday.• Pop-up booths may be licensed, based on availability, on a daily, weekly or monthly basis. • Fees are subject to change without notice.• If your space is not left clean, with trash removed you will be assessed a $50 cleaning fee. 4. Personal PropertyLicensee acknowledges and agrees that any personal property placed on the premises is done so at their own risk. LSM and its affiliates shall not be liable for any loss, theft, or damage to property under any circumstances. 5. MaintenanceLicensee shall maintain a clean and orderly space and return it to its original condition after use, including returning any furniture or fixtures to their original location. 6. Security and Liability• LSM does not provide security. No property may be stored on site.• Items left behind are the sole responsibility of Licensee.• Licensee is liable for any loss or damage to their items.• Intoxication, drug use, harassment, or inappropriate behavior will result in immediate removal without refund.• Licensees participating on consecutive days may not leave items overnight. 7. DamagesLicensee is responsible for any damage caused to the space beyond ordinary wear and tear and agrees to pay for any such damages as determined by LSM. 8. CancellationLicensee must give at least 1 week notice for cancellation. No refund or credit is given for cancellations. All events are rain or shine. 9. General Rules and Regulations2025 Summer Hours• Saturdays and Sundays, 10:00 AM to 3:00 PM• Setup: 9:30 AM. Late arrival (after 9:50 AM) forfeits the space and fee.• Departure: by 5:00 PM Additional Rules• Full participation for the entire event is required.• No music is permitted within the assigned space. • No-show/no-call by setup time forfeits the space and fee.• Two no-shows in a row or three in a season will result in forfeiture of remaining dates with no refund.• Management retains discretion on all space assignments and vendor issues. 10. Assigned LocationBusiness operations must occur only in assigned spaces. Assignments are non-transferable and may be reassigned at any time. Subletting is prohibited and will result in forfeiture of remaining season without refund. 11. Products for SaleAll products must be approved by LSM. Unauthorized product sales may result in removal. All products must be made, grown, or produced by the vendor. 12. Occupancy During Hours of Operation• Vendors must be open, stocked, and fully set up by 11:00 AM.• Persistent tardiness (3+ times/month) or selling out early may result in removal.• Early departure is prohibited. 13. ParkingVendors must not park on Saint Catherine St, Logan St, Kentucky St, Steve Magre Alley, or in the customer parking lot. Idling during market hours is prohibited. 14. UnloadingUnloading must occur before 9:30 AM. Vehicles must be moved immediately after unloading. Do not block loading areas. Vendors may use the Logan St. elevator or East St. Catherine entrances. 15. Rules & RegulationsLicensee agrees to abide by current and future LSM rules. It is the Licensee’s responsibility to remain informed of any changes. 16. TerminationLSM may revoke the Licensee’s space at any time without notice. Items left behind may be removed or disposed of at the Licensee’s expense. 17. Limitation of LiabilityLSM shall not be liable for incidental or consequential damages including business loss or damage to reputation. 18. IndemnificationLicensee agrees to indemnify and hold harmless LSM and its employees, agents, and representatives from any liability, claims, or losses resulting from Licensee’s presence or activity at the Market. No personal liability shall be held against LSM’s employees, officers, or directors under this Agreement. 19. Agreement EnforcementMarket management has full authority to enforce rules and may remove vendors in violation without refund. Rules may be amended at any time with 30 days’ notice, or immediately if required for safety or public health. 20. Social Media and PromotionsLicensee agrees that LSM may use the Licensee’s name, logo, or images in promotional materials. LSM retains all rights to media captured on-site. 21. Decline StatusThe Market Manager reserves the right to change any vendor’s status to “Declined” for any reason, which revokes all future participation without refund.
