SPONSORSHIP TERMS & LIABILITY RELEASE
2026 KIRKWOOD SPRING FLING FESTIVAL & TOUR OF HOMES
This Sponsorship Agreement ("Agreement") is entered into by and between the Kirkwood Neighbors Organization (KNO) and the Sponsor (as identified in the associated sponsorship registration application).
WHEREAS, the Sponsor has indicated a desire to support the Kirkwood Spring Fling Festival & Tour of Homes (the "Event") to be held on Saturday, May 16, 2026, at Bessie Branham Park;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. SPONSORSHIP BENEFITS & DEADLINES
The Sponsor agrees to pay the sponsorship fee associated with the specific package selected during registration. In exchange, KNO agrees to provide the promotional benefits outlined in the 2026 Sponsor Packet for that respective level.
To guarantee the production of sponsorship materials (including t-shirts and print media), the Sponsor acknowledges the following strict deadlines for payment and logo submission:
*Passenger Car Plus ($1,350) & Above Levels: Deadline is March 13, 2026.
*Passenger Car ($1,000) & Below Levels: Deadline is April 10, 2026.
Materials received after these dates may result in the exclusion of the Sponsor’s logo from printed collateral, with no reduction in the sponsorship fee.
2. PAYMENT POLICY & FEES
Invoices will be sent electronically via Eventeny. The Sponsor acknowledges and agrees that they may be required to cover any applicable transaction, processing, or service fees charged by the Eventeny platform in addition to the base sponsorship amount. Full payment must be received by KNO to secure booth space and promotional benefits. The Sponsor understands that earlier payment ensures a longer duration of brand promotion.
3. STRICT NO-REFUND POLICY
All sponsorship fees are final and non-refundable.
KNO does not provide refunds, credits, or rain checks for any reason whatsoever. This "No Refund" policy applies to all scenarios, including, but not limited to, the following:
*Inclement Weather: The Event is held rain or shine. No refunds will be issued due to weather conditions on or before the event date.
*Business Issues: No refunds will be issued due to the Sponsor's financial situation, staffing issues, or closure of business.
*Personal Issues: No refunds will be issued due to personal emergencies, illness, or change of schedule.
*Event Cancellation: In the unlikely event that the festival is cancelled by local authorities or force majeure, sponsorship funds will not be returned.
4. RELEASE OF LIABILITY & INDEMNIFICATION
The Sponsor agrees to indemnify, defend, and hold harmless the Kirkwood Neighbors Organization (KNO), its officers, board members, volunteers, and agents from and against any and all claims, demands, causes of action, losses, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or relating to:
1. Any act or omission of the Sponsor, its employees, or agents during the Event.
2. Any injury to persons or damage to property occurring within the Sponsor’s designated booth space or as a result of the Sponsor’s activities.
3. The Sponsor’s products, services, or operations.
The Sponsor further releases KNO from any liability for loss, theft, or damage to the Sponsor’s property, equipment, or merchandise while on the Event premises.
5. SPONSOR DELIVERABLES
The Sponsor agrees to provide a high-resolution logo and, if applicable to the selected level, t-shirt size preferences upon payment. Sponsors at the Title, Presenting, or Feature levels are responsible for providing their own banner design where applicable.
