Vendor Agreement
This Vendor Space Rental Agreement (the “Agreement”) is between:
Go Go Gabby LLC, a St. Johns Florida based company;
and Vendor as indicated on your submitted on-line Application (“you” or “Vendor”).
This Agreement shall not bind Go Go Gabby LLC or Vendor unless and until (1) Go Go Gabby LLC offers you a space at the Three Generations Tea by sending you an “Offer E-mail”; and (2) you accept Go Go Gabby LLC’s offer to participate in the Three Generations Tea by paying the Rental Fee in accordance with the Offer E-mail (the “Binding Conditions”). IMMEDIATELY UPON THE SATISFACTION OF THE BINDING CONDITIONS, THIS AGREEMENT SHALL AUTOMATICALLY BECOME AN EFFECTIVE AND BINDING CONTRACT BETWEEN Go Go Gabby LLC AND VENDOR.
The term “Agreement” as used herein includes and incorporates herein the information, terms and conditions contained within (i) the Application (ii) Go Go Gabby LLC’s Offer E-mail; (iii)Go Go Gabby LLC’s Confirmation E-mail to you (the “Confirmation Email”); and the Vendor Rules & Regulations posted on the GoGo Gabby LLC website (the “Rules & Regulations”). This Agreement sets forth the entirety of the parties’ respective rights and obligations in connection with Vendor’s operation of a space at GoGo Gabby LLC’s all applicable locations of the Three Generations Tea (the Market).
(1) Creation of Binding Agreement. This Agreement shall not bind Go Go Gabby LLC in any way unless and until (i) Go Go Gabby LLC has sent Vendor the Offer E-mail, which Go Go Gabby LLC may or may not send in its sole discretion and (ii) Vendor has accepted the offer by payment of the Rental Fee as set forth below. The Offer E-mail, if sent, will set forth the dates on which Go Go Gabby LLC has conditionally approved you to operate a space at the Tea (the “Term”). The date of the Offer E-Mail shall be deemed the “Effective Date” of this Agreement.
(a) Rental Fee. Rental Fee. To bind this Agreement and reserve a space for the Term you must pay the required “Rental Fee” (which shall include the Vendor Space in the amount, manner and within the time frame set forth in the Offer E-mail. To the extent not otherwise provided in the Offer E-mail, the rate as reflected in the pricing fee schedule. The Space Rental Fee is non-refundable, non-negotiable and non-transferrable. There are no refunds for absolutely any reason.
(b) Method of Payment. Vendor must remit during the application process. The application automatically calculates rental fees.
(c) Timing. The Rental Fee must be received by Go Go Gabby LLC during the application process. If the Term is sold out prior to receipt of payment of the Rental Fee, Vendor will receive a credit valid for the following Tea event.
