Please be aware: All the profile information you submit will be posted to the Trunk Show Alley Market website. You can submit product information, pictures of your product, your website, social media channels, etc. Your visibility to Trunk Show Alley Market customers and potential customers will be greatly enhanced!
All vendors can set up from 7:45 AM to 8:45 AM. You must be ready to sell by 9:00 AM. Late vendors will be placed in convenient spots since they have to carry in their goods, as vehicles are not allowed in the market area during business hours. Vendors cannot pack up early and leave the market without prior permission and if approved, will be assigned a different spot near the end of the market so they can carry out.
Legal Agreement
THIS CLICK-THROUGH AGREEMENT (THIS “AGREEMENT”) IS BETWEEN TRUNK SHOW ALLEY AND DOWNTOWN MERCHANTS ALPHARETTA, INC. (“DMA”) AND YOU. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER ENTITY, YOU REPRESENT THAT YOU ARE THE EMPLOYEE OR AGENT OF SUCH COMPANY (OR OTHER ENTITY) AND YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF SUCH COMPANY (OR OTHER ENTITY). BY CHECKING THE “I AGREE TO THE ABOVE TERMS” BOX BELOW AND ENTERING YOUR DIGITAL SIGNATURE, YOU ACKNOWLEDGE THAT YOU HAVE READ ALL OF THE TERMS AND CONDITIONS SET FORTH BELOW, UNDERSTAND ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ANY OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU MUST NOT CHECK THE “I AGREE TO THE ABOVE TERMS” BUTTON BELOW. THE “EFFECTIVE DATE” OF THIS AGREEMENT IS THE DATE UPON WHICH YOU CHECK THE “I AGREE TO THE ABOVE TERMS” BUTTON BELOW. FOR THE PURPOSE OF THIS AGREEMENT, YOU AND, IF APPLICABLE, SUCH COMPANY (OR OTHER ENTITY) CONSTITUTES “VENDOR”.
Vendor agrees to abide by the rules and regulations of the DMA as currently published and updated from time to time. Vendor risks removal from Trunk Show Alley for violations of these rules.
Vendor certifies that Vendor has the requisite licenses, certifications, permits and liability insurance, evidence of which has been provided or may be required by the DMA.
Vendor certifies that Vendor will operate a tent during the entire duration of any DMA event or risk being relocated at the discretion of DMA.
HOLD HARMLESS CLAUSE AND INSURANCE: All authorized Vendors participating in Trunk Show Alley are independent operators and not partners or joint ventures with the DMA and shall be individually and severally liable for any loss, personal injury, deaths and/or any other damages that may occur as a result of the Vendor’s bad acts and/or negligence or that of Vendor’s employees, agents, and associates. All vendors agree to indemnify and save DOWNTOWN MERCHANTS ALPHARETTA, INC., TRUNK SHOW ALLEY, AND CITY OF ALPHARETTA harmless for any loss, costs, damages and other expenses, including attorney’s fees, suffered or incurred by reason of Vendor’s negligence or intentional misconduct or that of its employees, agents, and associates. Because no insurance is provided by DMA for Vendors, each Vendor must carry his or her own personal and product liability insurance. Furthermore, vehicle liability insurance is required to cover any damage caused to persons or property by a Vendor’s vehicle.
The Parties agree to non-binding mediation under the rules of the American Arbitration Association. If there is no settlement in non-binding mediation, the Parties agree to binding Arbitration under the rules of the American Arbitration Association as a final resolution.
Neither Party shall be liable for, nor shall any measure of Damages include, any indirect, incidental, special, exemplary, punitive or consequential damages or penalties for loss of income, value, profits, savings, or any other loss arising out of or relating to its performance or failure to perform under this Agreement, even if the Party against whom liability is sought to be imposed has been advised of the possibility of such damages.
In the event any dispute between the Parties should result in litigation or arbitration, the prevailing party shall be reimbursed for all reasonable costs and reasonable attorney’s fees incurred in connection with such litigation or arbitration, including, without limitation, reasonable costs and reasonable attorney’s fees incurred in collecting the judgment(s) or arbitration award(s) resulting from such litigation or arbitration.
Governing Law. This Agreement will be governed by and construed in accordance with the internal laws of the State of Georgia without giving effect to any choice or conflict of law provision or rule (whether of the State of Georgia or any other jurisdiction) that would cause the application of laws of any jurisdiction other than those of the State of Georgia. Any legal suit, action or proceeding arising out of or related to this Agreement or the matters contemplated hereunder will be instituted exclusively in the courts of the State of Georgia in each case located in Fulton County.
